KNOW ALL PERSONS BY THESE PRESENTS:
THIS MEMORANDUM OF LICENSE AGREEMENT, is made and entered into this c'diday of
~~ ,2007 but effective as of the 1st day of January, 2007 (the "License"), by and
between UINTA DEVELOPMENT COMPANY, a corporation of the State of Wyoming
(hereinafter called "UDC"), and CHEVRON U.S.A. INC" a Pennsylvania corporation
(hereinafter called "LICENSEE").
RECITALS:
WHEREAS, UDC as Licensor and Chevron U.S.A. Inc. as Licensee entered into that certain
License Agreement dated effective as of January 1,2007, (hereinafter called the "License"),
which granted Chevron U.S.A. Inc. the right to construct, maintain, and use non-exclusive
roadways upon property of Licensor.
WITNESSETH:
Under the terms and conditions more specifically set forth in that certain License Agreement
effective January 1,2007 by and between UDC and Licensee, UDC has licensed to Licensee the
right to construct, maintain and use non-exclusive roadways upon property owned by UDC in
Lincoln and Sweetwater Counties, Wyoming, more particularly described in Exhibit "A" hereto
attached.
IN WITNESS WHEREOF, the parties hereto have caused this agreement to be executed in
duplicate as of the date first hereinabove written.
