DEED IN LIEU OF FORECLOSURE AGREEMENT

THIS AGREEMENT is made and entered into between Centennial Lending, LLC,
as servicing agent for Meridian Trust Federal Credit Union, designated herein as
"Lender" and Tanya M. White designated herein as "Borrower".
BASIS OF AGREEMENT:
1. Borrower is indebted to the Lender on a Promissory Note with a principal
and interest balance, including late charges, negative escrow and costs, of $366,372.38
as of March 5, 2008, which note is secured by a mortgage on certain real property
described as follows:
PART OF SECTION 8, TOWNSHIP 34 NORTH RANGE 118 WEST OF THE 6TH P.M.,
LINCOLN COUNTY, WYOMING BEING MORE PARTICULARLY DESCRIBED AS FOLLOWS:
BEGINNING AT A POINT 500 FEET NORTH FROM THE SOUTHEAST CORNER OF
SE1/4SW1/4 OF SAID SECTION 8, SAID POINT ALSO BEING THE NORTHEAST CORNER OF
THAT TRACT OF RECORD AS AN EXCEPTION IN THAT CERTAIN WARRANTY DEED
RECORDED BY THE LINCOLN COUNTY CLERK ON JULY 21, 1988 IN BOOK 263PR ON
PAGE 616 AND RUNNING THENCE NORTH ALONG THE EAST BOUNDARY LINE OF SAID
SE1/4SW1/4, 340 FEET;
THENCE WEST PARALLEL TO THE NORTH BOUNDARY LINE OF SAID TRACT, 261.36 FEET;
J '-f THENCE SOUTH PARALLEL TO THE EAST BOUNDARY LINE OF SAID SE1/4SW1/4, 340
FEET, MORE OR LESS, TO THE NORTHWEST CORNER OF SAID TRACT;
THENCE EAST ALONG THE NORTH BOUNDARY LINE OF SAID TRACT 261.36 FEET, MORE
OR LESS, TO THE POINT OF BEGINNING.
2. The mortgage was dated February 21, 2007 and was given by Tanya M.
White, a single woman, as mortgagor, to Meridian Trust Federal Credit Union, as
mortgagee, to secure the payment of a Promissory note in the amount of $350,900.00,
of even date therewith, which Mortgage was duly recorded on February 22, 2007 in
Book 649 at Page 461, in the Office of the County Clerk of Lincoln County, Wyoming.
3. The Promissory Note secured by the subject mortgage is presently in
default. Therefore, it is the mutual intent of the parties hereto that a method of
satisfaction and resolution of the indebtedness be adopted by the conveyance of the
above-described real property, by Borrower to Lender, and the concurrent discharge of
the balance remaining due with interest and costs on the Promissory Note above stated.
NOW THEREFORE, IT IS AGREED:
4. Borrower hereby agrees to convey to Lender by Warranty Deed the real
property described as:
PART OF SECTION 8, TOWNSHIP 34 NORTH RANGE 118 WEST OF THE 6TH P.M.,
LINCOLN COUNTY, WYOMING BEING MORE PARTICULARLY DESCRIBED AS FOLLOWS:
BEGINNING AT A POINT 500 FEET NORTH FROM THE SOUTHEAST CORNER OF
SE1/4SW1/4 OF SAID SECTION 8, SAID POINT ALSO BEING THE NORTHEAST CORNER OF

THENCE SOUTH PARALLEL TO THE EAST BOUNDARY LINE OF SAID SE1/4SW1/4, 340
FEET, MORE OR LESS, TO THE NORTHWEST CORNER OF SAID TRACT;
THENCE EAST ALONG THE NORTH BOUNDARY LINE OF SAID TRACT 261.36 FEET, MORE
OR LESS, TO THE POINT OF BEGINNING.
5. Conveyance of the equity in the property by Borrower shall constitute
good and sufficient consideration for the satisfaction of the Promissory Note, which
Promissory Note shall then be returned to Borrower by Lender and marked thereon
"Paid".
6. In consideration of the satisfaction of the Promissory Note and pursuant to
the execution of the Warranty Deed, Borrower releases and conveys all of her interest
in the real estate, including specifically homestead rights and any other right or interest,
including rights of redemption. By her signature hereto, the undersigned agrees to join
in the execution of this agreement and the Warranty Deed to specifically release and
convey any and all right, title and interest in the property that she might have by virtue of
the Homestead Exemption Laws of the State of Wyoming.
7. The deed in lieu of foreclosure is given voluntarily by the Borrower to the
Lender in good faith on the part of both, without fraud, misrepresentation, duress or
undue influence whatsoever, or any misunderstanding on the part of the Borrower or
Lender and is not given as a preference against any other creditor of Borrower.
8. The parties hereto represent that there are no liens, mortgages or other
encumbrances against this property other than the above-referenced mortgage to the
best of their knowledge and belief. However, the deed shall not restrict the right of the
Lender to institute foreclosure proceedings, if appropriate to obtain merchantable title,
but it is intended and understood by these parties to be an absolute conveyance and
unconditional sale, including full extinguishment of Borrower's equity of redemption.
9. This agreement has been made for the protection and benefit of the
Lender, its successors and assigns, and all other parties hereafter dealing with or who
may acquire an interest in the property described herein, and shall bind the respective
heirs, executors, and assigns of Lender and Borrower.
