DECLARATION OF UNITIZATION
Fortuna (US) L.P., a Delaware Limited Partnership, having an office at Suite 3400, 888
3rd St. S. W. Calgary, Alberta, T2P 5C5 ("Fortuna"), owns record interests in the leasehold
estates created under the oil and gas leases (the "Leases") described on Exhibit "A." Each of the
Leases contain provisions authorizing the original Lessee and Lessee's successors or assigns to
pool, combine, or unitize the Lands covered by each of the Leases with other lands and leases for
the purpose of creating a unit for the production of oil or gas.
In Fortuna's judgment, the pooling, unitization, and combination of the Leases to form
the Unit is both necessary and advisable to develop and produce oil and gas from the Unit.
Therefore, in consideration of the premises and pursuant to and in accordance with the
terms and provisions of the Leases, Fortuna pools, unitizes, and combines the Leases, including
all renewals, extensions, ratifications, and amendments of the Leases and the lands (the
"Lands") covered by those Leases and the mineral and/or royalty estates in the Lands subject to
the Leases into a unit for the exploration, development, and production of oil, gas, and associated
hydrocarbons (the "Unit").
The Unit shall be known as the Black Bear Canyon Unit, which contains 11,221.77 acres,
more or less. For purpose of this Declaration and designation of the Black Bear Canyon Unit,
reference is made to the Leases described in Exhibit "A," insofar as the Leases cover the Lands
included in the Unit as further depicted in Exhibit "B." Both Exhibit "A" and Exhibit "B" are
attached hereto and incoIporated herein by reference.
This Declaration shall be effective December 21, 2007 (the date of Unit approval), and
shall remain in force and effect for the life of the Unit. Fortuna expressly reserves the right, from
time to time, to amend this Declaration in all respects, including its terms and provisions, and to
change the size and area of and interest covered by the Unit.
This Declaration is executed by Fortuna and filed of record in Lincoln County,
Wyoming, for the purpose of exercising the pooling and unitization authority granted to the
Lessee in the Leases, and giving notice of the Lands included in the Unit established by Fortuna.
This Declaration may be terminated at any time by the Fortuna, or its successors or
assigns, by filing a notice to that effect in Lincoln County, Wyoming.

This Declaration shall be binding on the heirs, representatives, successors and assigns, as
applicable, of Fortuna as well as the lessors in the Leases identified in Exhibit "A."
This Declaration is signed by Fortuna as of the date of acknowledgment of below, but is
effective for all purposes as of the effective date stated above.
