Stevens, whose mailing address is 4 Cuttings Comer, Hanover, NH 03755-3220 ("Assignor"), and Wold Oil Properties, Inc., a Wyoming corporation, whose mailing address is 139W.2ndStreet,Suite 200, Casper, WY 82601 ("Assignee"), and do hereby agree as follows: 1. That Assignor and Assignee entered into a Purchase and Sale Agreement on August 31,2007, to be effective July 1, 2007, wherein Assignor conveyed to Assignee certain oil and gas properties, including all wells in and near the Wilson Ranch Unit, located in Lincoln County, Wyoming, which wells were listed on Schedule 1. 1.2, attached thereto. 2. That pursuant to that Purchase and Sale Agreement, Assignor executed an Assignment to Assignor, filed in the records of the Lincoln County, Wyoming County Clerk as Instrument # 932952, Book 671, PP 566-571, wherein Assignor conveyed to Assignee, among other things, certain wells in and near the Wilson Ranch Unit, which wells were listed on Exhibit "B", attached thereto. 3. That pursuant to that Purchase and Sale Agreement, Assignor signed certain Letters in Lieu of Transfer Orders with the operating companies for Assignor's interest in certain wells, which wells were listed on Exhibit "A", attached thereto. 4. That not listed on any of those above-described well listings were the following wells: . Ziegler's Wash 01-30 · Zeigler's Wash 11-30 · Ziegler's Wash 12-30 49-023-20602 49-023-21539 49-023-21210 NWSE 30 20Nl12W NWNW30 20N112W NENE 30 20Nl12W 5. That as indicated in language included in each of the above-described well listings, it was Assignor's and Assignee's intent to include these three wells in the Purchase and Sale Agreement, the subsequent Assignment and the subsequent Letters in Lieu. 6. That the above-described well listings and exhibits are hereby amended to include these three Zeigler's Wash wells and it is the parties intent that all of Assignor's right, title and interest in those wells shall be transferred to Assignee effective as of July 1, at 7:00 a.m. local time (the "Effective Time"). 7. The parties hereto agree that none of the other terms or conditions of that certain Purchase and Sale Agreement, referenced Assignment or referenced Letters in Lieu shall be modified or amended and that they shall remain in full force and effect as originally executed.
