For and in consideration of the sum of Ten Dollars ($10.00) and other good and valuable consideration,
receipt and sufficiency of which is hereby acknowledged, CABOT OIL & GAS CORPORATION, (hereinafter
referred to as "Assignor"), whosemailingaddressis600SeventeenthStreet.Suite900N.Denver.CO
80202, does, without warranty or covenant of title, express or implied, hereby assign, transfer, set over, and
convey unto WILLIAMS FIELD SERVICES COMPANY, LLC, A Limited Liability Company formed under the
laws of Delaware, (hereinafter referred to as "Assignee"), whose address is One Williams Center, WRC3-9,
Tulsa, OK 74172, its right, title, and interest in, to, and under that Pipeline Right of Way, (hereinafter referred
to as "the Agreement"), and further described on attached Exhibit "A" and recorded in the records of Lincoln
County, Wyoming.
As a part of the consideration for this Assignment, Assignee agrees that it will perform all of the
terms and conditions to be performed by Assignor by provisions of the Agreement, "and specifically assumes
all rights, duties, and liabilities of Assignor as set out in the Agreement. ASSIGNEE FURTHER AGREES TO
INDEMNIFY AND HOLD ASSIGNOR HARMLESS FROM ALL CLAIMS, DAMAGES, AND COSTS THAT
MAY ARISE THROUGH THE USE OF THE AGREEMENT BY ASSIGNEE, ITS AGENTS, EMPLOYEES,
SUCCESSORS, AND ASSIGNS.
TO HAVE AND TO HOLD the same unto said Williams Field Services Company, LLC, its
successors and assigns.

A strip of land 30 feet wide across a portion of Section 9 , Township 21 North, Range 113 West,
6th PM, Lincoln County, Wyoming, being 15 feet each side, measured at right angles from the following
described survey line, which is the centerline of an existing 4 1/2 inch diameter pipeline:
Beginning at a point located in the Northeast quarter of the Northeast quarter of Section 9, said
point bears North 42°30'14" West a distance of 1822.5 feet from the East quarter comer of said Section
9;
Thence South 39°16'59" East a distance of31.9 feet;
Thence South 11 °34'41" West a distance of 332.8 feet;
Thence South 47"37'33" East a distance of 153.8 feet;
Thence South 20°18'21" East a distance of 450.8 feet;
Thence South 31 °26'26" East a distance of 439.2 feet;
