INTEREST/CONFIRMATION OF CONTRACTS, filed on behalf of the Personal Representative herein on June 9,
2008, and good cause appearing therefore and this Court hearing no objection to said Petition and this Court
having received written consents thereto from all of the heirs and creditors of the Estate with a signficant
interest herein, this Com1 finds and orders that the Personal Representative is hereby given approval and
authority to transfer and convey that real property owned or controlled by the Estate, as follows:
1. The real property commonly known as Valli Vu Golf Course and more particularly described
as Lot 1 of the Estates At Valli-Vu, Lincoln County,Wyoming, as described on the official Plat filed on
December 1, 2006, as Instument No. 924974 of the records of Lincoln County Clerk, Lincoln County,
(sometimes referred to herein as the Valli Vu Golf Course) appears to be owned of record by Next Step
Engineering, Design and Construction, LLC, a Wyoming limited liability company.
2. Next Step Engineering, Design and Construction, LLC was to convey the Valli Vu Golf
Course lot to the Town of Afton pursuant to that Developer's Agreement executed by Brad Morehouse and
t.he Town of Afton prior to Brad Morehouse's death, a copy of said Developer's Agreement having been
filed and incorporated into this probate estate.
3. The Personal Representative of the Estate, the Town of Afton and First Bank of Afton, have
agreed to the tenus of the Valli Vu Golf Course Agreement, which has been submitted to this Court for
confinuation and approval and which appears to this Com1 to be justified and in the best interests of the
Estate, its heirs and its creditors.
4. Additionally, in accord with the Merritts' creditor's claim filed and accepted herein by the
Personal Representative, and in accord with the previous agreement reached between the Merritts and Brad
Morehouse, the Merritts agreed to convey their old home and land adjacent to the Valli Vu Golf Course

project in exchange for Brad MorehouselNext Step Engineering, Design and Construction, LLC constructing
and conveying to the Merritts a new home on a newly-developed lot in the Estates At Valli Vu.
5. All terms and conditions of the agreement between the Merritts and the Estate (as
successor in interest to Bradley Morehouse) have been completed except the actual recording of a
proper deed of conveyance to the Men·itts.
6. It appears to be in the best interests of the Estate for the Personal Representative to
complete the transaction with the Merritts and to convey to them all right, title and interst in and to
the Merritts' new home and Lot 9 of The Estates At Valli-Vu, Lincoln County, Wyoming, as
described on the official Plat filed on December 1,2006, as Instrument No. 924974 of the records of
Lincoln County Clerk.
IT IS SO ORDERED, THEREj?ORE, that the Court approves and authorizes the Personal
Represenative, on behalf of the Estate and for Next Step Engineering, Design and Construction, LLC, to
execute all documents necessary to effectuate the completion of all agreements binding on the Estate
regarding the Valli Vu Golf Course development and the lots at The Estates At Valli Vu, specifically
including but not limited to the transfer and conveyance of the platted lots in the Estates At Valli-Vu,
Lincoln County,Wyoming, as described on the official Plat filed on December 1, 2006, as Instument No.
924974 of the records of Lincoln County Clerk, Lincoln County, including but not limited to Lot 1 to the
Town of Afton and Lot 9 to the Merritts and other lots within the Estates At Valli-Vu for which curative or
corrective documents may be necessary for the Estate's completion of the Decedant's obligations regarding
the Valli Vu Golf Course and adjacent lot development.
