TIMOTHY ALAN ALLRED and CYNTfllA H. ALLRED as Mortgagors, residing at 16 Cedar Court,
Thayne, Wyoming 83127, hereby grant to ALAN LANCE ALLRED, as Mortgagee, a mortgage upon the real
property more particularly described as:
Lots 2, 3, & 4 of Bedford Hide-A-Way Estates, Lincoln County, Wyoming as described on
Official Plat filed September 5, 2003 as Instrument No. 893161 of the record of the Lincoln
County Clerk, SUBJECT, however, to all reservations, restrictions, protective covenants,
exceptions, easement and right-of-way, in sight, or in use

located in Lincoln County, State of Wyoming, to secure Mortgagors' indebtedness to Mortgagee evidenced by
that certain Promissory Note of even date herewith-in the original amount of $3,650,000.00.
Mortgagors agree to pay all taxes, assessments on said premises, and to keep the buildings thereon
insured in the sum not less than $3,750,000.00 during the life of this mortgage, with Mortgagors and Mortgagee
as loss payees thereunder, às their interest may appear. In the event Mortgagors do not secure and maintain such
insurance coverage or pay and discharge such taxes, Mortgagee may secure said insurance and pay said taxes, and
all amounts so paid shall be added to and considered as part of the above indebtedness hereby secured. In case of
default in the payment and/or performance of any obligation evidenced or secured hereby then the whole
indebtedness secured hereby shall immediately become due and payable, and the Mortgagee may proceed,
pursuant to law, to foreclose on the mortgaged property and in case of foreclosure, Mortgagors hereby agree to
pay all costs of the same, including all costs and reasonable attorney's fees.

PROIMISORY NOTE (Interest)

The undersigned, jointly and severally, promise to pay to the order of TIMOTHY ALAN ALLRED &
CYNTIllA H. ALLRED at 16 Cedar Court. in Thavne WY 83127. or at such other place as the holders hereof
may designate in writing, the sum of Three Million Six Hundred and Fifty Thousand and no/l00 Dollars,
($3,650,000.00), payable as follow:
Monthly payments of $18,000.00 per month together with interest thereon at the rate of six
percent (6%), per annum, commencing on October 31, 2008, which payments are due not later
than the 5th of each month, and continuing thereafter with like payments until all sums so owed
for principal and interest, have been paid and satisfied in full.
Payment of this note with interest to date of payment may be made at any time without penalty.
If the holders deem themselves insecure or if default be made in payment of the whole or any part of any
installment at the time when or the place where the same becomes due and payable as aforesaid, then the entire

unpaid balance, with interest as aforesaid, shall, at the election of the holders hereof and without notice of said
election at once became due and payable. In event of any such default or acceleration, the undersigned, jointly
and severally, agree to pay to the holders hereof reasonable attorney's fees, legal expenses, and lawful collection
costs in addition to all other sums due hereunder.
Presentment, demand, protest, notice of dishonor and extension of time without notice are hereby waived
and the undersigned consent to the release of any security, or any part thereof, with or without Substitution.
