notarial officer, does hereby state and swears:
1. That Landmark 05, LLC, aka Landmark is the lien claimant whose address is 1648
Uinta Street, PO Box 730, Evanston, Wyoming 82931.
2. The amount claimed to be due and owing to the lien claimant is $294,613.37 plus
accruing interest on said amount at the highest legal rate from August 15, 2008 until paid in full.
3. The name and address of the persons against whose property the lien is filed is as

incorporated herein by this reference. Against the total balance of Two Hundred Ninety Four, Six
Hundred Thirteen Thousand Dollars and Thirty Seven Cents ($294,613.37) plus interest thereon
at the highest legal rate allowed by contract or law until paid in full, and reasonable attorney's fees
as allowed by contract or law, neither Kemmerer BLM, LLC nor Carotex Construction, Inc. have
paid anything by reason of which the entire amount plus interest thereon at the highest legal rate
allowed by contract or law and reasonable attorney's fees as allowed by contract or law, is due and
owing to Landmark 05, LLC a/k/a Landmark.
9. There are no just credits on behalf of Kemmerer BLM, LLC or Carotex Construction,
Inc.
10. Your affiant has caused compliance to be had with the provisions of W.S. § 29-1-
301 through 29-2-111 as amended.

SUBCONTRACT AGREEMENT

THIS AGREEMENT is made this _9th_ day of _Aug\lst--, 2007, betwce:tl Carotex Construction,
Inc. (hereafter referred to as "Contractor") and Landmark (hereafter referred to as "Su.b')
The work described in Section I. below shall bE;: perfonned in accordal1c£ with the prime ¢ontract between
"Contractor"' and Kemmerer BLM (hereafter referred to as "Owner"), and in accordance wi.th all plans,
specifi¢ations and other contract documents attached to or i.ncorporated into the prime contract for tbe
project I<.nown as Kemmerer BLM Qf~.
Sec:tion,1. Scope of Work, "Sub" agrees to fumisll all. J.abor, materials, and oth.er facitities required to
complete the fO,lIowing work:
ComDlete & Oucrational Mechanical on the Interior o{Buildim!:
· AIl HVAC SysteU15.
· An Gas piping, valves~ and connections.
· An Plumbing rough-ins. drains. trims, and fixtures.
· Provide Ooor drains under tbe grating in tbe walk off matt areas al the front and rear
vestibules.
· Domestic water meter to be at bu.iJding ILO curbside location.
· Work done & jnspeded to plaos and specifications.
· Value enRinec:rine will be provided 10 reduce costs in plumbing fixtures and ßVAC
equipment sizing, but atm comply with the minimum requirements of the project. Sub to
provide sclIedule of value for rem ova) of taxes in contract amount - CODtnÞ:tor to provide
tax exemption certificate.
· Indudes the Fire Sprinkler System (b1terior & exterior) and Site Utilities for Sewer, Water
& Gas per City & State Codes.
Sect' ¡c:e. "Cootractor" agrees to pay "Sub" for the strict perfonnance ofbis work, the sum of
$373,188.00 ubject to a,djustments for approved change orders a.s agreed to in wri.ting by the
· ontra or;' Payment shall be made in monthly progress payments. All subcontracts are subject to a
10% Retainage. Progress payments to "Sub" shall. be made only with sums received by "Contractor'~
from "Own.er" for work performed by "Sub" as reflected in "Contractor's" appli.cations for payment.

Section 4. Time. Time is of the esseDCe ofthis Agreem,en.t. "Sub" shall provide "Contractor" with
scheduling information in the form acceptable to "Contractor" and sha.ll conform to "ContTactor's"
progress schedules, including any changes ma.de by "Contractor" in the
scheduling OfWOTk.
Section 5. Delay. Tn the event that "Sub's'" work is delayed for any reason, including acts of the
"Contmctor", "Sub's" sole remedy shaH be an extension ohime equal to the period of delay, provided
"Sub" has given "Contractor" written notice of the commencement of detay within 48 hours of its
occurrence.
Section 6. Cha.nges in Work. "Sub" shaH make no changes in the scope of work covered by tbjs
Agreement without written approval from the "Contractor". "Sub" shan not be compensated for any
c,hange which is made without such written direction. No chan.ges in the work covered by this Agreemetlt
shall exonerate any surety or any bond given in cottncction with this Agreement.
Section 7. Claims. 'fany dispute 5ba1l arise between "Contractor" and "Sub" regarding performance of
the work, or any alleged change in the work, "Sub" shall timely perfonn the disputed work and shan give
written notice of a claim for additional com:pensati,otJ for the work within ten (10) days after
commencement ofthe disputed work. "Sub's" failure to give written notice within the ten (10) day period
constitutes an agreement by "Sub" that it will receive no extra. compcnsation for the disputed work.
Section 8. Inspection and 'Protection of Work. "Sub" shall make the work accessible at all reasonable
times for inspection by the "Contractor". "Sub" shaU, at the first oppon:unjty, in!:òpect all material and
equipment delivered to the job site by others to be used or incorpQrated in the "Sub's" work and give
prompt notice of any defect therein. "Sub" assumes full respot'1sibiJ'Íty to'protect the work done hereunder
until final acceptance by the Architect, "Owner" and "Contractor".
Seçdon 9. Tennination. (i) Should "Sub" fa.iI. to rectiry any contractua.t deficiencies" including failure to
pay its creditors, within three (3) working da)'3 from receipt of "Contractor's" written notice,

Section U.ln,uram:e. "Sub" shall, at its eð.pe.nse, prQcure and maintain insurance on all of its
operations, with carriers acceptable tQ "Con.tractor", and in amou.nts acceptable to "Contractor" and as

a. Workers' Compensation and Em.ployer"s Liability Insurance;
b. Comprehensivë General Liability or Commercial Ge.nera.! Líabmty Insurance covering aU
operations; and
c. Automobile Liabjlity insurance, including coverage for a.ll ow.ned, hired and non-owned
automobiles.
All insurance coverages shall be in amounts and for. durations acceptable to "Con1ractor" and as

"Contractor". The certificates of insurance shall provide that there wílJ be neitb.er cancellation nor

"Contractor" to enforce in a timely man,ner. any of the provisions of this Section 11 shall not act as a

Section 12. Claims Resolution. Any claims resolution procedure incorporated in the prime cO,ntract shall
be deemed i.ncorporated in this Agreement, and shaH apply to any d.isputes arising hereunder. In the
absence of a claims resolution procedure in the prime contract, the parties hereto shall not be obligated to
