ASSIGNMENT OF OVERRIDNG ROYALTY INTEREST

KNOW ALL MEN BY THESE PRESENTS
That the undersigned Elaine Wolf, personal representative of the Estate of Melvin Wolf, deceased,
6825 E. Tennessee Avenue Suite 235, Denver, Colorado 80224 hereinafter called "Assignor", for good
and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, does hereby
convey, transfer, assign and set over unto: 53 Hyde Park LLC a Colorado Limited Liability Company,
6825 E. Tennessee Avenue Suite 235, Denver, Colorado 80224 hereinafter called "Assignee", all of its
right, title and interest in and to all oil, gas, casing head gas and other hydrocarbons which may be
produced, saved and marketed under the terms of those certain oil and gas leases, or any extensions thereof,
as set forth in Exhibit A, consisting of one page attached hereto and made a part hereof, together with the
rights incident thereto, appurtenant thereto, or used or obtained in connection with the leases.
TO HAVE AND TO HOLD the interest herein transferred and assigned unto Assignee herein, their heirs,
devisees, executors, administrators, personal representatives, successors and assigns forever, subject only to
the following terms and provisions:
A. The overriding royalty interest herein transferred is subject to the terms and provisions of that
certain oil and gas lease described on Exhibit "A", attached hereto and made apart hereof.
B. Assignor shall warrant and defend title to the assigned overriding royalty interest by, through and
under Assignor, but not otherwise.
C. This Assignment of Overriding Royalty Interest is Effective as of September 1,2008. It is the
intent of the Assignor to convey all of Assignor's right, title and interest, in and to all ofthe
revenue in suspense (if any) that may have been produced from, or be attributable to, the interest
conveyed hereby, date of fust production,
D. It is the intent of Assignor to convey all of its right, title and interest in and to Federal Oil
and Gas Serial Lease set forth in Exhibit "A".
IT WITNESS WHEREOF, this instrument is executed this Z4ty of September, 2008, however,
effective as of the 1st day of September, 2008.
