I am the duly named, qualified and acting successor Trust Manager of the Fred Dale Pyle, Jr., Trust, dated April 24, 1990, and any amendments thereto. 2. Fred D. Pyle, Sr., is the record owner of one third (1/3) of one-tenth (1/10) of the oil, gas and other hydro-carbons produced and sold (hereinafter "mineral interests") from the real property, more particularly described in paragraph 5 below, as reflected by the deed recorded in the Office of the Lincoln County Clerk, Lincoln County, Wyoming, in Book 25 of Deeds on Page 433. ' 3. Fred D. Pyle, Jr., was one of Fred D. Pyle, Sr.'s five children. 4. On October 15, 1999, William A. Keefe, of Gorsuch Kirgis, LLP, Attorneys at Law, wrote a Division Order Title Opinion, addressed to Marathon Oil Company. 5. As a result of the Title Opinion, Marathon Oil Company caused to be prepared various documents for the purpose of clarifying the various mineral ownership interests in the following described real property: Township 22 North. Pyle, died intestate on July 21, 1950. 7. The intestate heirs of Fred D. Pyle, Sr., were as follows: Name and Relationship Share Ella Adele Pyle, Surviving Spouse 1/2 Fred D. Pyle, Jr., Son 1/10 Katherine M. Pyle, Daughter 1/10 Freda Pyle (Burns), Daughter 1/1 0 Kenneth N. Pyle, Son 1/10 Raymond W. Pyle, Son 1/10 8. Upon the death of Fred D. Pyle, Sr., Fred D. Pyle, Jr., became entitled to receive one-tenth (1/10) of one-half (1/2) of Fred D. Pyle, Sr.'s one-third (1/3) of one-tenth (1/10) interest in the Subject Lands, being a 1/300 interest in the Subject Lands. 9. Ella Adele Pyle died testate in 1952. No fonnal probate was conducted. The heirs at law and will distributees ofElIa Adele Pyle's estate were as follows: Name and Relationship Fred D. Pyle, Jr., Son Katherine M. Pyle, Daughter Freda Pyle (Burns), Daughter Kenneth N. Pyle, Son Raymond W. Pyle, Son Share 1/5 1/5 1/5 1/5 1/5 10. Upon the death of Ella Adele Pyle, Fred D. Pyle, Jr. became entitled to receive one-fifth (1/5) of Ella Adele Pyle's one-half (1/2) of one-third (1/3) of one-tenth (1/10) interest in the Subject Lands, being a 1/300 interest in the Subject Lands. 11. One of the documents prepared on behalf of Marathon Oil Company was a Declaration and Cross-Conveyance of Interests of the heirs of Fred D. Pyle, Sr., which Declaration and Cross-Conveyance of Interests was signed by all of parties who would have been entitled to receive, under intestacy proceedings in the State of Wyoming, any interest in the mineral estate of Fred D. Pyle, Sr. A true and correct copy of the Declaration and Cross- Conveyance ofInterests, signed in December, 1999 by the heirs of Fred D. Pyle, Sr., is ,attached hereto, marked Exhibit A, and by this reference, incorporated herein. 12. The attached Declaration and Cross-Conveyance of Interest states, among other things, that Fred D. Pyle, Jr., ultimately became the owner of a one-fifth (1/5) interest of Fred D. Pyle, Sr.'s one-third (1/3) of one-tenth (1/10) mineral interest (being a 2/300 or 1/150 interest) in the Subject Lands. ' 13. To the best knowledge and belief of the Affiant, the Declaration and Cross- Conveyance of Interests was signed by all of the heirs of the estate of Fred D. Pyle, Sr., and forwarded to Marathon Oil Company. 14. To the best knowledge and belief of the Affiant, the original Declaration and Cross-Conveyance of Interests was never recorded by Marathon Oil Company, but was converted into an electronic file and the original is l).ow unable to be located. 15. Fred D. Pyle, Jr. died, testate on the 1st day of June, 2006 in San Diego, San Diego County, State of California, owning a 1/300 interest in the minerals in the Subject Lands, as acquired from Fred D. Pyle, Sr., and owning an additional 1/300 interest in the minerals in the Subject Lands as acquired from Ella Adele Pyle, totaling a 1/150 interest in the minerals in the Subject Lands. 16. That Fred D. Pyle, Jr., deceased, left surviving him the following who would have under the probate proceedings of the State of Wyoming, the right to succeed to ownership of the minerals of the subject lands owned by Fred D. Pyle, Jr. Name, Age Share 60\)4.00 Daniel O'Connor Legal 25% Michelle Marie O'Connor Legal 15% Shannon Marie 0' connor Legal 15% Laurie Marie 0' Connor Legal 15% Patrick O'Connor Legal 15% Hsuching Lin (Bums) Shaw Legal 15% 17. All of the above heirs have entered into a an agreement entitled Estate of Fred Daly(sic) Pyle, Jr. Beneficiary Agreement, wherein all of the heirs have agreed that the above described mineral interest should be transferred and set over to Susan Marie Bennett, as Trustee of the Fred Dale Pyle, Jr. Trust Restatement, dated May 23, 2002, as amended in the 1st Amendment to the Restatement of Trust, dated October 31, 2005, which trust is more formally known as Susan M. Bennett, Trust Manager of the Fred D. Pyle, Jr., Trust, dated Apri124, 1990. A true and correct copy of the Estate of Fred Daly (sic) Pyle, Jr., Beneficiary Agreement is attached hereto, marked Exhibit B, and by this reference incorporated herein. Further, Affiant sayeth not.
