A. The parties have interests in adjoining real estate located near Etna, County of
Lincoln, State of Wyoming, and described, respectively, as follow:
Properties described in that survey plat of record in the Office of the Lincoln County
Clerk, entitled, "CLARK FAMILY EXEMPTION" and recorded as Plat No. 277-A.
Exemption #1 - ANGELA CLARK WEBB, BANK OF STAR VALLEY
Exemption #2 - KAREN O'KEEFE JOHNSON
Exemption #3 - DALE S. CLARK
Exemption #4 - NICOLE CLARK HEINER
Exemption #5 - TYSON CLARK
Exemption #6 - YVONNE CARK
Exemption #7 - JUDY L. CLINGER
Exemption #8 - LADEAN S. CLARK
Exemption #9 - KURT S. CLARK
Exemption #11 - KELLY CHARLES O'KEEFE
A 60 foot wide strip ofland within and being a part of the NWl/4NEl/4 and the
SWl/4NEl/4 of Section 14, Township 35 North, Range 119 West, Lincoln County,
Wyoming, being 30 feet to each side of the centerline described as follows:
BEGINNING on the north line of Section 14 at a point which is located
S88°51 '42"E a distance of 482.84 feet from the Quarter-Section Comer common
to Sections 11 and 14; and running
THENCE S38°36'25"E, along "Exemption" parcels boundary, a distance of
347.28 feet;
THENCE S0044'10"W, continuing along "Exemption" parcels boundaries, a
distance of 1608.32 feet;
THENCE N88°56' 10"W, 30 feet from, and parallel to, the south boundary of
"Exemption" Parcel #1, a distance of703.00 feet to the west line ofthe

SUBJECT TO all easements, exceptions, restrictions, reservations and right of way
of sight or record.
B. The parties desire to create a right of way easement for ingress, egress and
underground utilizes between the above-described adjoining lots owned by
them for the benefit of the herein described properties owned by the Grantees.
THEREFORE, the parties, for themselves, and their heirs, successors, and assigns, agree
as follow:
A. EASEMENT. A right of way easement for ingress, egress, and underground
utilities in favor of the herein described property owned by the Grantees, is
hereby created over the herein described property owned by the Grantors,
being 60 feet ofWl/2NEl/4 of Section 14, T35N, R119W, said right of way
easement being shown on the "CLARK F AMIL Y EXEMPTION" plat,
Plat No. 277-A, Instrument No. 879032 in the Lincoln County,
Wyoming Clerk's office.
B. EASEMENT NOT TO BE OBSTRUCTED. Except for temporary
obstructions required for the purposes of installing and maintaining
underground utilities within the right of way easement, the right of way
easement shall not be obstructed in any manner that would impede free
ingress and egress along the entire length of the right of way easement.
C. IMPROVEMENTS. Any improvements made within the right of way
easement shall be at the sole expense of the person making the
improvements unless otherwise agreed to in writing.
D. EASEMENT TO RUN WITH THE LAND. The right of way easement
created herein shall run with the land, and shall be binding on and shall
inure to the benefit of the parties to this Easement Agreement, and their
respective, heirs, successors or assigns
E. PURPOSE OF AMENDMENT. This amendment shall supersede and
correct the EASEMENT AGREEMENT recorded in the Office of the Clerk
of Lincoln County in Book 579 of Photostatic Records on page 49. This
serves to correct the Notary Acknowledgements in the EASEMENT
AGREEMENT recorded February, 15, 2005 in Book 579PR on page 49

F. ENTIRE AGREEMENT. This Easement Agreement constitutes the entire
agreement between the parties and any prior understanding or
representation of any kind preceding the date of this Easement Agreement
shall not be binding except to the extent incorporated in this Easement
agreement.
