HomeMy WebLinkAbout944178 FIRST AMENDMENT TO DECLARATION OF PROTECTIVE COVENANTS, AGREEMENTS, RESTRICTIONS AND CONDITIONS AFFECTING THE REAL PROPERTY KNOWN AS BRIDGER FOREST RANCH 10-7-08 00,,180 First Amendment to Declaration of Protective Covenants, Agreements, Restrictions and Conditions Affecting the Real Property Known as Bridger Forest Ranch ("First Amendment") made by a majority of the record owners of the property. The Bridger Forest Ranch shall be referred to herein as lithe Property" or lithe Subdivision". WHEREAS, that certain Declaration of Protective Covenants, Agre~ments, Restrictions and Conditions Affecting the Real Property Known as Bridger Forest Ranch was recorded in the office of the Lincoln County Clerk on January 25,1975, in Book 117 PR, page 40 ("Declaration"); and WHEREAS, the property owners along Strawberry Creek Private Road and Strawberry Creek Lane within the Subdivision (lithe roads") have no Lincoln County maintenance for the roads, and a majority of such owners desire to organize an association to maintain the roads; therefore, they propose that the Declaration be amended to establish an Association of the Strawberry Creek Private Road and the Strawberry Creek Lane Owners (lithe Road Association") for the purpose of maintaining the roads for the benefit of the owners owning lots along the roads; excluding, however, the owners of lots located along and accessed from Lincoln County Road 12-126; and, the Road Association's functions are limited to use, operation, and maintenance of the roads, and it shall exercise no jurisdiction concerning the preexisting covenants set forth in the Declaration; and WHEREAS, The property consists of certain real property located in Sections 27 and 28, T34N, R118W of the 6th PM, Lincoln County, Wyoming, as particularly described in the Declaration; and WHEREAS, pursuant to Sections 2 and 12 of the Declaration, the Declaration may be amended by a majority vote of the record owners of the property; and WHEREAS, the undersigned, being a majority of the record owners of the property as defined in said Sections 2 and 12, desire to amend the Declaration as set forth below; and WHEREAS, pursuant to said Section 12, this First Amendment becomes effective upon its recording in the office of the Lincoln County Clerk; NOW, THEREFORE, pursuant to Sections 2 and 12 of the Declaration, the Declaration is hereby amended by adding the following provisions: 1 RECEIVED 12/16/2008 at 11:00 AM RECEIVING # 944178 BOOK: 711 PAGE: 180 JEANNE WAGNER LINCOLN COUNTY CLERK, KEMMERER, WY C-Oô1S1 20. Owners' Lots Subiect to Assessments. Except as set forth in Section 21 below, every Owner holds title to his lot(s) subject to the right of the Road Association to charge reasonable assessments for the use, operation, and maintenance of the roads hereinafter set forth. 21. Road Association Membership. Immediately upon recording this First Amendment, the Road Association the Road Association shall be established. Every Owner of a Lot shall be a member of the Road Association, except that those Lots located adjacent to and with direct access to Lincoln County Road Number 12-126 will not be members of the Road Association. There shall be one vote for each lot. Membership shall be appurtenant to and may not be separated from ownership of any Lot that is subject to assessment. 22. Manaaement of Road Association. The affairs of the Road Association shall be managed by a Board of Directors. All agreements and determinations with respect to the property lawfully made or entered into by the Board of Directors shall be binding upon all of the Owners and their successors and assigns. 23. Board of Directors of the Road Association. a. The Board of Directors of the Road Association, herein referred to as the board, shall consist of five (5) members, or such additional number as may be approved by majority vote of the Road Association. The term of a Board member shall be three years. The initial election shall elect one (1) member for one (1) year and shall elect two (2) members for two (2) years and elect two (2) members for three (3) years to allow for the continuity of the Board in subsequent elections. b. Three classes of owners shall be represented as follows: (1) Absentee owners that own lot(s) in the subdivision, all of which are vacant lot(s) and have no residence in the subdivision. (2) Owners who are part-time resident on his/her lot(s). (3) Owners who are full-time or year round residents on their lots. c. The Board shall be elected by a majority vote of the Road Association. In the event owners do not ru~ for the Board who fall into the categories b (1) and b (2). One of the elected Board Members will be designated to represent 2 the view point and concerns of each specific class of owners. OOû182 d. All Board members shall be an owner or an officer, partner, shareholder or member of a Trust or similar land owning organization and have the authority to represent that organization. e. Owners running for the Board must at the time of the Board election be current with his assessment obligations imposed under the First Amendment in order to assume this Office. 24. Authoritv and Duties. The duties and obligations of the Board and rules governing the conduct of the Road Association shall be promulgated and published in document(s) available to all members upon request, and such rules may be amended from time to time. 25. Limited Liabilitv of Board of Directors. etc. Members of the Board and their officers, assistant officers, agents and employees acting in good faith on behalf of the Association: a. shall not be liable to the Owners as a result of their activities as such for any mistakes of judgment, negligence or otherwise, except for their own willful misconduct or bad faith; b. shall have no personal liability in contract to an Owner or any other person or entity under any agreement, instrument or transaction entered into by the~ on behalf of the Association in their capacity as such; C. shall have no personal liability in tort to any Owner or any person or entity, except for their own willful misconduct or bad faith; d. shall have no personal liability arising out of the use, misuse or condition of the Property which might in any way be assessed against or imputed to them as a result of or by virtue of their capacity as such. 26. Creation Personal ObliQation of Assessments. Except as provided in Section 21, each Owner of any Lot is deemed to have consented to be subject to these covenants and agrees to pay the Association: a. Annual assessment or charges; and b. Special assessments for capital improvements, such as assessments to be established and collected as hereinafter provided. 3 (:Oû183 27. Purpose of Assessments. The assessments levied by the Road Association shall be used exclusively to operate and maintain the two Subdivision roads including road maintenance, bridge maintenance and replacement, dust abatement, snow removal and cost of administrating the programs. 28. Annual BudQet. The Board shall prepare an annual budget estimate for the operation and maintenance of the Subdivision roads and administration of the Association and fix the amount of the annual assessment based on its estimate. Such annual budget shall be prepared and approved by the Board at least thirty (30) days in advance of each annual assessment period. 29. Special Assessments for Capital Improvements. In addition to the annual assessments authorized above, the Board may levy, in any assessment year, a special assessment applicable to that year only for the purpose of defraying, in whole or part, the cost of any construction, reconstruction, repair or replacement or a capital improvement of the Subdivision roads. 30. Rate of Assessment. The Board shall fix both the annual and special assessments on the Subdivision lots in an equitable manner taking into consideration whether the Lot Owners are full-time, part-time, or nonresidents with vacant lots and the extent which such assessments confer a benefit on the various Lots. All Road Association members have the option to meet with the Board at regularly scheduled meetings to address concerns, issues and tc;> make appeals of decisions made. The Board's ultimate determination, however, shall be final. 31. Date of Commencement of Annual Assessments: Due Dates. The annual assessments provided for herein shall commence as to all Lots subject to assessment in not more than 60 days after recording of this First Amendment. The Board shall fix the amount of the annual assessment against each Lot at least thirty (30) days in advance of each annual assessment period. Written notice of the annual assessment shall be sent to every Owner subject thereto. The due dates shall be established by the Board. The Association shall, upon demand and for a reasonable charge, furnish a certificate signed by an officer of the Association setting forth whether the assessments on a specified Lot have been paid. 4 32. Remedies of the Board for Non-Pavment of Assessments. In the event of late payment or nonpayment of assessment the Board will exercise such legal or administrative rights as necessary for the collection of assessments due as are available, but not limited to the following; (:Oû184 a. Negotiate a payment schedule with the Owner(s) b. Establish an interest penalty fee for late paying accounts c. Utilize the small claims court for collection of assessments d. Use the services of a professional bill collection agency e. File a lien against the lot(s) pursuant to W.S. 34-4-101 et seq., in a similar manner as a real estate mortgage. f. Impose the collection cost of delinquent assessments such as service charges, attorney fees or any other cost of collections. Failure to enforce the covenant or restriction herein contained shall in no event be deemed a waiver of the right to do so thereafter. 33. Prioritv of the Assessment Lien. Sale or transfer of any Lot or the recording of any mortgage or other lien against any Lot shall not affect the priority of the assessment lien. 34. Amendment. This declaration may be amended at any time by an instrument in writing signed by not less than a majority of the Lot Owners who are members of the Association, which amendment becomes effective when the instrument is recorded in the Office of the County Clerk of Lincoln County, Wyoming.
