THAT Intrepid Oil & Gas, LLC, a Colorado limited liability company ("Assignor"),
whose address is 700-17th Street, Suite 1700, Denver, Colorado 80202, for Ten DoIIars ($10.00)
and other good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, does hereby assign, transfer and convey unto:

described oil and gas lease (the "Lease"):

The provisions hereof shall be covenants running with the land and shall extend to and be
binding upon the parties hereto, their respective heirs, legal representatives, successors and
assigns, and shall be deemed to be covenants running with the Land and Leases.
