This ASSIGNMENT OF INDEBTEDNESS AND LIENS, dated as of February 26,2009
(this "Assignment"), is made by and among AMERICAN NATIONAL BANK, a national
banking association ("Assignor"), BANK OF OKLAHOMA, N.A., a national banking
association ("Assignee"), and DOUBLE EAGLE PETROLEUM CO., a Maryland corporation
("Borrower") .
RECITALS:
WHEREAS, Borrower and Assignor entered into that certain Commercial Loan
Agreement dated as of January 3,2000 (such Commercial Loan Agreement and all promissory
notes issued pursuant thereto, in each case as from time to time supplemented or amended, are
herein collectively called the "Loan Agreement"); and
WHEREAS, the payment and the perfonnance of all indebtedness and obligations of
Borrower under the Loan Agreement (the "Indebtedness") are secured by the various security
documents and financing statements listed on Schedule 1 attached hereto and made a part hereof
(as heretofore and hereafter supplemented or amended, collectively called the "Security
Documents"); and
WHEREAS, the Security Documents have been recorded as set forth in Schedule 1
hereto; and
WHEREAS, Assignor has sold to Assignee a fifty percent (50%) (the "Specified
Percentage") participation interest in the Indebtedness and in Assignor's rights and obligations
under the Loan Agreement and the Security Documents; and
WHEREAS, Borrower has requested that Assignor assign (i) the Specified Percentage of
its rights and interests in, to the Indebtedness and in Assignor, and under the Loan Agreement to
Assignee individually, and (ii) all of its rights and interests in, to and under the Security
Documents to Assignee, as agent for the benefit of Assignor and Assignee (in such capacity
herein referred to as "Agent"), all on the tenns and conditions provided herein;
NOW THEREFORE, in consideration of the premises and the mutual agreements herein
contained, the parties hereto hereby act and agree as follows:
Section 1. Assignment and Assumption.
(a) Assignor, for and in consideration of the sum ofTen Dollars ($10.00) and for
other good and valuable consideration to Assignor paid by Assignee, the receipt and sufficiency
of which is hereby acknowledged, does hereby GRANT, BARGAIN, SELL, CONVEY
TRANSFER, ASSIGN AND SET OVER unto Assignee, individually, the Specified Percentage
of Assignor's right, title and interest in and to the Indebtedness and the Loan Agreement
(collectively, the "Assigned Indebtedness"), and unto Agent all of Assignor's right, titre and
interest in and to all liens, rights, titles, interests, privileges, claims, demands, equities, charges

and security interests of Assignor existing under or pursuant to the Security Documents (herein
collectively called the "Assigned Liens"); in each case, SA VE AND EXCEPT the Reserved
Obligations:
TO HA VE AND TO HOLD the Assigned Indebtedness and the Assigned Liens.
(b) Assignee hereby accepts the foregoing assignment of the Assigned Indebtedness
and assumes the Specified Percentage of any and all obligations of Assignor to Assignee to make
loans or otherwise extend credit in accordance with the tenns of the Loan Agreement.
(c) Borrower hereby consents to the foregoing assignment and assumption. Borrower
hereby ratifies and confinns the Assigned Indebtedness and the Assigned Liens.
Section 2. Reserved Obligations. The Reserved Obligations are all obligations of
Borrower to Assignor or to any officer, director, employee, representative, agent or affiliate of
Assignor (each herein called an "Indemnified Party") to indemnify or hold harmless any
Indemnified Party or reimburse any Indemnified Party for any costs or expenses incurred under
or in connection with the Loan Agreement, the Security Documents or the transactions related
thereto. The Reserved Obligations are not included within the Assigned Indebtedness or the
As~igned Liens. Borrower hereby ratifies and confinns the Reserved Obligations.

Section 3. Representations and Warranties of Assignor. The assignment made hereby by
Assignor is made without recourse and without warranty or representation, expressed or implied,
except that Assignor does warrant to Assignee that Assignor is the owner and holder of the
Assigned Indebtedness, free and clear of any lawful claim thereto by any person, and has full
right, power and authority to transfer to Assignee all of the Assigned Indebtedness, free and clear
of any lawful claim thereto by any person.
Section 4. Representations and Warranties of Borrower. Borrower hereby represents,
warrants, acknowledges and admits to Assignor and Assignee that, as of the date hereof there are
no offsets, defenses or counterclaims against the enforcement of the Assigned Indebtedness or
the Assigned Liens whether held by Assignor or Assignee, and the Assigned Indebtedness and
the Assigned Liens are in full force and effect.
Section 5. Releases. To induce Assignor to sell, and Assignee to purchase, the Assigned
Indebtedness and the Assigned Liens, and at the special insistence and request of Assignor and
Assignee, and for other good and valuable consideration, the receipt and sufficiency of which is
hereby acknowledged, Borrower hereby fully releases and discharges Assignor and its successors
and assigns - including but not limited to Assignee - and their respective officers, directors,
employees, representatives, agents and affiliates, from all claims, demands, causes of action,
liabilities or other obligations of any kind whatsoever (INCLUDING, WITHOUT
LIMITATION, OFFSETS, REDUCTIONS, REBATEMENTS OR CLAIMS OF USURY OR
CLAIMS WITH RESPECT TO THE NEGLIGENCE OR WILLFUL MISCONDUCT OF ANY
PERSON HEREBY INDEMNIFIED), whether known or unknown and whether now existing or
hereafter asserted, to the extent that any such claims, demands, causes of action, liabilities or
other obligations arise from or are related to events or circumstances occurring or existing on or
before the date of this Assignment and are in any way related to the the Loan Agreement, the

Security Documents, or any of the transactions contemplated thereby (including without
limitation any actual or potential amendments thereto or any Reserved Obligation.
Section 6. Continuing Indebtedness. The Assigned Indebtedness is continuing
indebtedness, and nothing herein contained shall be construed to cause or deem any of the
Assigned Indebtedness to be paid, or to release or tenninate any of the Assigned Liens (or any
other lien securing any of the Assigned Indebtedness).
Section 7. Additional Documents. Assignor will from time to time, at the reasonable
request of Assignee and upon payment of Assignor's expenses execute and deliver to Assignee
any documents which are necessary or desirable to carry out more effectively the purposes of
this Assignment, including without limitation, any financing statements or assignments, properly
completed (and acknowledged when required).
Section 8. Addresses. For the purposes of this Assignment the addresses of the parties
shall be as shown beside their signatures hereto.
Section 9. Choice of Law. This Assignment shall be governed by, and construed in
accordance with, the laws of the State of Wyoming, excluding its conflict oflaws rules, except to
the extent that the assignment of any liens or Security Documents is mandatorily governed by the
laws of the jurisdiction in which the properties subject thereto are located.
Section 10. Counterparts. This Assignment is being executed in several counterparts, all
of which are identical except that, to facilitate recordation, in certain counterparts hereof only
that portion of Exhibit A, if any, which is a prerequisite to recordation in a particular recording
jurisdiction is included and all other portions of Exhibit A are included by reference only. This
Assignment may be executed by the different parties hereto in separate counterparts. All of such
counterparts together constitute one and the same instrument.
Section 11. Descriptions of Mortgaged Properties. To allow proper indexing and
recording of this Assignment in the various recording jurisdictions ofthe State of Wyoming,
there is attached hereto as Exhibit A a set of descriptions of the properties subject to the Security
Documents which are located in such recording jurisdictions.
Section 12. Entire Agreement. THIS WRITTEN ASSIGNMENT IS THE FINAL
AGREEMENT BETWEEN THE PARTIES WITHOUT RESPECT TO THE SUBJECT
MATTER HEREOF AND MAY NOT BE CONTRADICTED BY EVIDENCE OF PRIOR,
CONTEMPORANEOUS, OR SUBSEQUENT ORAL AGREEMENTS OF THE PARTIES.
THERE ARE NO UNWRITTEN ORAL AGREEMENTS BETWEEN THE PARTIES.

1. The interest in the Long Butte Unit described on Page 1 of this Exhibit A shall
include any and all rights accruing pursuant to ownership in the Long Butte Unit.
2. The interests included in the wells and fields described on Page 2 of this Exhibit
A in the Waltman 21-19, James Creek and Marianne leases shall include any and
all rights accruing pursuant to ownership in these leases.
3. This Exhibit A has been provided by Double Eagle Petroleum and Mining
Company with the intent of providing collateral for the attached mortgage.
American Energy Finance has relied on the accuracy and completeness of the
