HomeMy WebLinkAbout945781 ASSIGNMENT OF EASEMENT AND RIGHTS OF WAY (;Ov232 STATE OF WYOMING § § KNOW ALL MEN BY THESE PRESENTS: COUNTY OF LINCOLN § For and in consideration of the sum of Ten Dollars ($10.00) and other good and valuable consideration, receipt and sufficiency of which is hereby acknowledged, WILLIAMS GAS PROCESSING COMPANY, a corporation of the State of Delaware, (hereinafter referred to as "Assignor"), whose mailing address is P.O. Box 645, Attention: Midstream Real Estate, Tulsa, Oklahoma 74101-0645, does, without warranty or covenant of title, express or implied, hereby assign, transfer, set over, and convey unto WILLIAMS FIELD SERVICES COMPANY, LLC, a limited liability company of the State of Delaware, (hereinafter referred to as "Assignee"), whose address is P.O. Box 645, Attention: Midstream Real Estate, Tulsa, Oklahoma 74101- 0645, its right, title, and interest in, to, and under that EASEMENT DEED, (hereinafter referred to as "the Agreement"), dated, 1-February-1994, granted by Union Pacific Land Resources Corporation, a corporation of the State of Nebraska and filed of record on 25-January-2008, and recorded under Book 684, Page 756 in the Clerks office of Lincoln County, Wyoming. As a part of the consideration for this Assignment, Assignee agrees that it will perform all of the terms and conditions to be performed by Assignor by provisions of the Agreement, and specifically assumes all rights, duties, and liabilities of Assignor as set out in the Ag~eements. ASSIGNEE FURTHER AGREES TO INDEMNIFY AND HOLD ASSIGNOR HARMLESS FROM ALL CLAIMS, DAMAGES, AND COSTS THAT MAY ARISE THROUGH THE USE OF THE AGREEMENT BY ASSIGNEE, ITS AGENTS, EMPLOYEES, SUCCESSORS, AND ASSIGNS. TO HAVE AND TO HOLD the same unto said WILLIAMS FIELD SERVICES COMPANY, LLC, its successors and assigns.
