KNOW ALL MEN BY THESE PRESENTS:
STATE OF WYOMING
For and in consideration of the sum of Ten Dollars ($10.00) and other good and valuable consideration,
receipt and sufficiency of which is hereby acknowledged, WILLIAMS GAS PROCESSING COMPANY, a
corporation of the State of Delaware, (hereinafter referred to as "Assignor"), whose mailing address is P.O.
Box 645, Attention: Midstream Real Estate, Tulsa, Oklahoma 74101-0645, does, without warranty or
covenant of title, express or implied, hereby assign, transfer, set over, and convey unto WILLIAMS FIELD
SERVICES COMPANY, LLC, a limited liability company of the State of Delaware, (hereinafter referred to as
"Assignee"), whose address is P.O. Box 645, Attention: Midstream Real Estate, Tulsa, Oklahoma 74101-
0645, its right, title, and interest in, to, and under those EASEMENT DEEDS, (hereinafter referred to as "the
Agreements"), dated 1-February-1994, 4-February-1994, 2-February-1994, and 4-February-1994, granted by
Uinta Development Company, a corporation of the State of Wyoming and filed of record on 10-0ctober-2007
and 14-February-2008, and recorded under Book 675, Page 134; Book 686, Page 767; Book 686, Page 755;
and Book 686, Page 734, in the Clerks office of Lincoln County, Wyoming.
As a part of the consideration for this Assignment, Assignee agrees that it will perform all of the
terms and conditions to be performed by Assignor by provisions of the Agreements, and specifically assumes
all rights, duties, and liabilities of Assignor as set out in the Agreements. ASSIGNEE FURTHER AGREES
TO INDEMNIFY AND HOLD ASSIGNOR HARMLESS FROM ALL CLAIMS, DAMAGES, AND COSTS
THAT MAY ARISE THROUGH THE USE OF THE AGREEMENTS BY ASSIGNEE, ITS AGENTS,
EMPLOYEES, SUCCESSORS, AND ASSIGNS.
TO HAVE AND TO HOLD the same unto said WILLIAMS FIELD SERVICES COMPANY, LLC, its
successors and assigns.
