MEMORANDUM OF AGREEMENT
FOR SEWER SERVICE

This Memorandum of Agreement for Sewer Service memorializes that certain
Agreement for Sewer Service entered into by and between North Star Utility, a Wyoming
corporation, and Wyo/Mcs LLC, a Delaware limited liability company, on the 31 st day of
December, 2008 (the "Agreement"), by which Agreement North Star Utility agreed to
provide sewer service to the property described on the attached Exhibit A upon
satisfaction by Wyo/Mcs LLC of certain duties and obligations contained in the
Agreement.
The Agreement is binding upon and shall accrue to the benefit of the heirs,

IN WITNESS WHEREOF, the parties hereto have executed this Memorandum of
