BOUNDARY ADJUSTMENT AGREEMENT

This Agreement is made this

day of April, 2009 by and between
Catherine J. Crier, hereinafter referred to as "Catherine" and Johnson Willow Creek
Ranch, LLC, a Wyoming limited liability company, hereinafter referred to as "Willow
Creek".
WHEREAS Catherine and Willow Creek own property bordering one another in
Lincoln County, Wyoming. In general Catherine owns property situated on the south
and west side of Willow Creek's property; and
WHEREAS there are sections of old fencing wruch, though not located on the
actual boundary line, have frequently served as the common boundary line between the
parties; and
WHEREAS the parties desire to reach an agreement regarding adjustment of the
common property boundary line wruch adjustment will involve conveyances of
property to one another to accomplish the same.
NOW THEREFORE the parties agree as follows:

Wyoming dated 24 July 2007 as revised" shall generally constitute the legal property
boundary line between the parties.

2. The boundary adjustment contemplated herein will involve Crier
conveying approximately seven acres to Willow Creek and Willow Creek conveying
approximately four acres to Crier. The parties acknowledge and agree that the acreage
amounts are oIÙY approximate but that the trade of land herein is fair and equitable to
both parties. Pursuant thereto, the parties shall quitclaim their respective interest free
and clear of any liens or encumbrances in order to affect this boundary adjustment.
3. Surveyor Scherbel, Ltd. shall prepare legal descriptions to affect this
boundary adjustment. This Agreement is contingent upon the parties' approval of the
Quitclaim Deed instruments to be filed herein as well as the Surveyor Scherbel Ltd.
map.
4. The parties shall each contribute on an equal 50/50 basis for maintenance
of the boundary fence and shall periodically consult with one another as to which
portion of the fence each will maintain. Any new fence constructed on the common
boundary line shall be a "lawful fence" as defined by W.S. § 11-28-102. The parties shall
each contribute on an equal SO/50 basis for maintenance of any new fence and shall
periodically consult with one another as to which portions of the new fence each will
maintain. In the event a new fence is constructed, the old fencing shall be properly
removed and disposed of accordingly.

5. All representations made in the negotiations of this transaction have been
incorporated herein. There are no verbal agreements between the parties to modify
terms and conditions. This Agreement may not be changed orally but only by an
agreement in writing signed by the parties against whom enforcement of any waiver,
change, modification or discharge is sought.
6. This Agreement shall be filed in the office of the Lincoln County Clerk in
Kemmerer, Wyoming along with the Quitclaim Deeds adjusting the mutual boundary
line in accordance with the Surveyor Scherbel, Ltd. map.
