Hatfield, Larw Mathes, Michele Mathes and Shelly's Cowboy Bar, LLC of Post Office
Box 7930, Jackson, Wyoming 83001 herein referred to as "Purchaser" and then Rhea
~obe~s Miles, i~divid~aJly, and ~hea RobeAs Miles, Trustee of the Rhea Robe,s Miles
.... L~:J~g":'~st, dated DeCember 31, 1996, of Post Office Box 375, Aflon, Wyoming 83110
herein referred to as "Seller". On October 9, 2001, the paAies entered into the Sale
Agreement, into the terms of which the Seller transferred to the Purchaser a business
commonly referred to as the Golden Spur Cafb and Cowboy Bar located in the Town of
Afton, County of Lincoln, being evidence by a Modgage and Promissary Note of even
date, together with ce~ain real propeAy.
A. The sale of alcoholic beverage is paA of the business contemplated by
the pa~ies to be conducted on the premises.
B. In connection with the premises the Seller holds a valid liquor license issued
by the Town of Alton, County of Lincoln, State of Wyoming.
C. The license shall be transferred by the Seller to the Purchaser to enable to
Purchaser to conduct the business as contemplate by the padies.
COVENANTS
1. In consideratiOn as evidence by the Promissow Note and Mo~gage of even
date, which terms are incorporated herein by reference, receipt of which is
acknowledged by the padies, the Purchaser agrees that if they are in default under any
of the terms contained within the Promisso~ Note and Modgage of even date or
surrenders the premise voluntarily, or if they become subject to any revocation action
by any local, county, state or federal action' in which' the liquor license is the subject of
the revocation action, the Purchaser will reassign and/or immediately transfer the liquor
license back to the Seller.
' 2. It ~s also understood that in the event the Purchaser discontinues the
business at the Premises evidenced in the Modgage of even date for any reason

whatsoever, the Purchaser will reassign and/or transfer the license to the Seller, if the
Seller elects to assume the same.
3. It is understood and agreed by the parties than in the event the Seller should
retake the real property described in their mortgage of even date for any reason, the
Buyer will immediately transfer the said liquor license back to the Seller or their assigns
or heirs at law. Buyer further covenant and agree that they will not move or cause to
remove from the described real property and the mortgage of even date the said liquor
license, it being the intent of this agreement, promisSory note and mortgage of even
date that said liquor license will remain with the promise so described within the
mortgage of even date during the life of this contract, the promissory note and
mortgage of even date.
4. This agreement shall be in affect until the Promissory Note and/or Mortgage
of even date are paid in full and released by the Seller. In addition, this agreement
shall remain in affect at all times that the Seller has any interest or mortgage against
the real property described in the Mortgage of even date.
