KNOW ALL MEN BY THESE 'RESENTS, THAT:
G & H Resources, LLC and Black Diamond Minerals, LLC, located at 1600 Stout Street, Suite
1350, Denver, CO 80202, hereinafter referred to as "Assignors", for good and valuable consideration, the
receipt of which is hereby acknowledged, does hereby sell, convey, assign and transfer, without warranties
or covenants of title, either express or implied, to
LODESTONE OPERATING, INC., 120 HAWTHORN PL, PORTLAND, TX 78374 , hereinafter referred to as
"Assignee", all of Assignors' right, title and interest, including but not limited to royalty interests,
overriding royalty interests, working interests, operating rights and wellbore interests in the properties
described in Exhibit "A", attached hereto and made a part hereof and all associated material and
equipment thereon (hereinafter referred to as the "Subject Property").
It is understood and agreed that this Assignment and Bill of Sale shall be subject to the following
terms and conditions:
1. Assignee hereby acknowledges that it has inspected the Subject Property, and accepts the same
"AS IS" and "WHERE IS" and that Assignors make NO WARRANTY OR REPRESENTATION,
EXPRESS OR IMPLIED, AS TO THE QUALITY, CONDITION OR SERVICEABILITY OF
SAID WELLS AND EQUIPMENT.
2. This Assignment and Bill of Sale is subject to all valid contracts, agreements or orders pertaining
to the Subject Property.
3. Assignee agrees to properly plug and abandon all wells located on the Subject Property at no
expense to Assignors in accordance with applicable law.
4. A. Spills and NORM - Assignee acknowledges that there may have been spills of wastes,
crude oil, produced water or other materials in the past onto the Property or in connection with the
Interests. In addition, some oil field production equipment may contain asbestos and/or Naturally
Occurring Radioactive Material (hereinafter referred to as "NORM"). In this regard Assignee
expressly understands that Norm may affix or attach itself to the inside of wells, materials, and
equipment as scale, or in other forms, and that said wells, materials, and equipment located on the
Property or included in the Interests described herein may contain NORM and that NORM-
containing material may be buried or otherwise disposed of on the Property. Assignee also
expressly understands that special procedures may be required for the remediation, removal,
transportation, and disposal of asbestos and NORM from the Interests and Property where it may
be found and that Assignee assumes all liability for or in connection with assessment, remediation,
removal, transportation, and disposal of any such materials and associated activities in accordance
with all rules, regulation, and requirements of governmental agencies.
B. Sale "As Is", "Where Is" - ASSIGNEE UNDERSTANDS AND AGREES THAT THIS
SALE IS MADE ON AN "AS IS, WHERE IS" BASIS AND ASSIGNEE RELEASES
ASSIGNORS FROM ANY LIABILITY WITH RESPECT THERETO WHETHER OR NOT
CAUSED BY OR ATTRIBUTABLE TO ASSIGNORS' NEGLIGENCE AND WHETHER OR
NOT ARISING FROM OR IN CONNECTION WITH OR DURING THE PERIOD OF
ASSIGNORS' OWNERSHIP OF THE INTERESTS OR USE OF THE PROPERTY. WITHOUT
LIMITING THE ABOVE, ASSIGNEE WAIVES ITS RIGHT TO RECOVER FROM
ASSIGNORS AND FOREVER RELEASES AND DISCHARGES ASSIGNORS FROM ANY
AND ALL DAMAGES, CLAIMS, LOSSES, LIABILITIES, PENALTIES, FINES, LIENS,
JUDGMENTS COSTS, AND EXPENSES WHATSOEVER, (INCLUDING, WITHOUT
LIMITATION, ATTORNEY'S FEES AND COSTS), WHETHER DIRECT OR INDIRECT,
KNOWN OR UNKNOWN, FORESEEN OR UNFORESEEN, THAT MAY ARISE ON
ACCOUNT OF OR IN ANY WAY BE CONNECTED WITH THE PHYSICAL CONDITION OF
THE PREMISIS OR ANY LAW OR REGULATION APPLICABLE THERETO, INCLUDING,
WITHOUT LIMITATION, THE COMPREHENSIVE ENVIRONMENTAL RESPONSE,
COMENSATION AND LIABLITY ACT OF 1980, AS AMENDED (42 U.S.C. SS. 9601 et.
sew.), THE CLEAN WATER ACT (33 US.SC. SS. 466 et. seMc THE SAFE DRINING WATER
ACT (14 U.S.C. SS. 1401 - 1450 et. seq.), THE HAZARDOUS MATERIALS
TRANSPORTATION ACT (49 U.S.C. SS. 1801 et. seq.), THE TOXIC SUBSTANCE
CONTROL ACT (15 U.S.C. SS. 2601-2629) and all applicable State Laws.

C. Disposal of Material Substances and Wastes - Assignee shall handle, transport, ` and
dispose of and/or discharge any material, substance, or waste from the Interests and Property
(including but not limited to produced water, drilling fluids and other associated wastes), whether
present before or after the Effective Date, in accordance with applicable local, state and federal
laws and regulations. To the extent that the Property is not sold in fee to Assignee, Assignee shall
keep records of the types, amounts and location of materials, substances, and wastes which are
transported, handled, discharged, released or disposed onsite and offsite. When and if any lease,
an interest in which has been assigned pursuant to this Agreement, is terminated, Assignee shall
take whatever additional testing, assessment, closure, reporting or remedial action with respect to
the Interests and Property that is necessary to meet any local, state or federal requirements directed
at protecting human health and the environment in effect at that time and are necessary to restore
the surface of the Property.
D. Indemnity - Assignee, its successors and assigns, hereby agree to indemnify and defend
Assignors, their successors and assigns, from and against all damages, losses, claims, demands,
and causes of action (including but not limited to any civil fines, penalties, expenses, costs of
clean-up, and plugging liabilities for any and all wells) brought by any and all persons, (including,
but not limited to) Assignee's and Assignors' employees, agents, or representatives and also any
private citizens, persons, organizations, and any agency, branch or representative of federal, state
or local government, on account of any personal injury or death or damage, destruction, loss of
property, or contamination of natural resource (including soil, surface water or ground water)
resulting from, arising out of any liability caused by, or connected with any environmental
condition of the Interests or Property on or before the Effective Time, including but not limited to,
presence, disposal or release of any material of any kind in, on or under the Interests, the Property,
or other affected property, or at any time caused by or connected with acts or omissions of
Assignee, its employees, representatives, or agents with regard to it use, ownership, or
operatorship or the Interests or Property. Assignee's indemnification shall extend to and include
(i) the negligence of Assignors, Assignee, and parties acting on behalf of Assignee, whether such
negligence is active or passive, joint, sole or concurrent, and (ii) Assignors' strict liability. This
indemnification shall be in addition to any other indemnity provisions contained in the Agreement,
and it is expressly understood and agreed that any terms of this Article shall control over any
conflicting or contradicting terms or provisions contained in this agreement.
5. It is the intention and agreement of Assignors and Assignee hereunder that the provisions of this
Assignment and Bill of Sale be severable. Should the whole, or any portion of a section or
paragraph, be judicially held to be void or invalid, such holding shall not affect other portions
which can be given effect without the invalid or void portion. It is also the intent of both parties to
convey all ownership held by David & Michelle Neher that were derived from that certain
Purchase and Sale agreement dated the first day of August 2005 between Crown Oil & Gas
Company, Inc. and Black Diamond Minerals, LLC. whether or not fully explained in the Exhibit
"A"
TO HAVE AND TO HOLD unto Assignee, its successors and assigns forever the Subject Property
and all right and obligations pertaining thereto. This Assignment and Bill of Sale is made
WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
IN WITNESS WHEREOF, this Assignment and Bill of Sale is effective as of JUNE 1 , 2009,
at 7:00 A.M. local time where the Subject Property is located ("Effective Time").
