PAID-UP OIL AND GAS LEASE

CHEVRON MINING INC., whose mailing address is 116 Inverness Drive East, Suite 207,
Englewood, Colorado 80112, hereinafter referred to as "LESSOR"; and KEMMERER MOON ENERGY
PARTNERS LLC, represented by Craig Ambler, as Manager whose address is 1560 Broadway, Suite
2100, Denver, Colorado, 80202; hereinafter referred to as "LESSEE" who declare that they have entered
into a Paid-Up Oil and Gas Lease as of the 15th day of January, 2009, for a primary term of five (5) years
and for so long thereafter as oil or gas is being produced or drilling operations are conducted on said Land,
all as provided in such lease, affecting certain land located in Lincoln County, Wyoming and more
particularly described on Exhibit "A" attached to and made a part hereof.
