We, Val D. Pendleton and Shelley Pendleton, Trustees, or their successors in trust, under
the PLC Trust dated December 21, 2006, Grantors and PLC, LLC, a Wyoming limited liability
company, Grantees, being first duly sworn, hereby state as follows:
WHEREAS, the Grantors wish to grant a portion of land to Grantees;
WHEREAS, This division is NOT for the purpose of evading any part of the Lincoln
County Subdivision Regulations and NOT for short-term investment or for resale after division
to persons outside of the Grantor(s) immediate family;
WHEREAS, This division is not located within a platted subdivision;
WHEREAS, The Grantee(s) has/have NOT previously received title to any other parcel
created by virtue of the family exemption of W.S. § 18-5-303(a)(i).
WHEREAS, The Grantees are either a natural or adopted child, stepchild, spouse,
sibling, grandchild, grandparent or parent of all Grantor who are the current owners of record of
the property being divided or of a shareholder in a corporation as set forth in W.S. § 18-5-
303(a)(i)(A) and (E).
WHEREAS, The purpose of this division is to provide a parcel to the Grantee(s) for the
agricultural needs of the Grantee(s) and that the Grantee(s) intend to use the parcel exclusively
for agricultural purposes (production of crops, livestock or other agrarian industry for the
primary purpose of obtaining a monetary profit).
WHEREAS, The land subject to the division has been titled in the name of the
Grantor(s) for not less than five (5) years. The Grantee(s) will retain title to this parcel for at least
one year except in the case of involuntary transfer as set forth by W.S. § 18-5-303(a)(i)(C).
Retention of the parcel for longer than one year does not relieve the grantee of complying with
other family exemption requirements, specifically including the "purpose" requirement of § 18-
5-306(a)(i)(B).
WHEREAS, The subject parcel is not being created from a parcel that was itself created
by family exemption; or if it is, the newly created parcel is five acres or larger after re-division.
WHEREAS, the Grantors relationship to Grantees is that Husband to Wife.

consideration of other valuable consideration and ten dollars ($10) in hand paid, convey and
warrant to PI.C,LLC- ,1. W L14 Grantee, whose address is 555 Stone Creek Lane,
Thayne, WY 83127, the followingbed real estate:
STARTING 510 FEET EAST OF THE SW CORNER OF THE SW1/4 OF THE SWl/4 OF
SECTION 7, TOWNSHIP 34N, RANGE 118W, THENCE NORTH 200 FEET, THENCE
WEST 210 FEET, THENCE NORTH 62 FEET, THENCE WEST 38 FEET, THENCE
NORTH 217 FEET, THENCE EAST 1048 FEET, THENCE SOUTH 479 FEET,
THENCE WEST 800 FEET TO THE POINT OF BEGINNING, BEING 10.37 ACRES

Leaving the remaining property:
