PERSONAL REPRESENTATIVE ASSIGNMENT OF OVERRIDING ROYALTY INTERESTS
This Personal Representative's Assignment is from Mark A. O'Brien, Personal Representative, of the
Estate of Eugene Alton O'Brien, (a/k/a Eugene A. O'Brien), Deceased, (hereinafter "the Estate") with an address at
5461 West Kent Place, Denver, Colorado 80235, to the O'BRIEN FAMILY LLC, a Colorado Limited Liability
Company, (hereinafter the "Assignee), with an address at 5461 West Kent Place, Denver, Colorado 80235.
WHEREAS, Eugene Alton, a/k/a Eugene A. O'Brien, deceased, in his lifetime made and executed his Last
Will and Testament dated August 2, 2001, which Will was duly admitted to informal probate by the Denver County
Probate Court 2nd JD, Colorado, Case No. 2008pr811, In the Matter of The Estate of Eugene Alton O'Brien, a/k/a
Eugene A. O'Brien, wherein Mark A. O'Brien was appointed Personal Representative thereof by Letters
Testamentary on June 24, 2008.
WHEREAS, Mark A. O'Brien, under his authority as Personal Representative of the Estate, caused to be
filed in the District Court, 6ch JD, Wyoming, Probate No. 7160, Petition for order Authorizing Disposition of
Property of a Non-Resident Under Ancillary Administration, which petition was granted on August 20`h, 2009, and
duly recorded in the Wyoming Counties were the properties are located.
NOW THEREFORE, pursuant to the powers conferred upon Mark A. O'Brien as Personal
Representative of the Estate (hereinafter "Assignor") by the Colorado Statutes and the orders of the Denver Probate
Court and the Wyoming Statues and the order of the Wyoming District Court, the Assignor, does, for Ten Dollars
($10.00) and other good and valuable consideration the receipt and sufficiency of which are hereby acknowledged,
does hereby Sells, Transfers, Assigns, Conveys and Sets Over unto the O'BRIEN FAMILY, LLC, a Colorado
Limited Liability Company, all of the Estate's Overriding Royalty Interests, in and to all of the oil, gas and any other
hydrocarbons produced, saved, marketed and sold from the lands described in and covered by any and all of the oil
and gas leases in Lincoln County, Wyoming, including, but not limited to those leases and lands which are more
fully described on Exhibit "A" (the "Leases and Lands") attached hereto and made a part hereof, together with the
rights incident thereto. It is the specific intent of the Assignor to assign and convey to the Assignee all of the Leases
and Lands owned by the Estate in Lincoln County, Wyoming, whether or not such Lease and Lands are describe and
listed on Exhibit "A".
The Overriding Royalty Interests herein assigned and transferred are subject to all of the terms, conditions
and provisions of the leases and instruments of record creating such Overriding Royalty Interests. Assignor shall
execute and deliver such other documents, if any, necessary to carry out the intent of this Assignment. The
Overriding Royalty Interests assigned hereunder are free and clear of all liens and encumbrances by, through and
under Assignor, but not otherwise.
All revenues from production prior to the effective date shall be paid to the Assignor; and; conversely, all
revenues from production after the Effective Time and Date shall be paid to the Assignee.
The terms and conditions hereof shall be binding upon and shall inure to the benefit of the parties hereto
their successors and assigns.
IN WITNESS WHEREOF, this Assignment was executed by the Assignor this 9th day of September, 2009
but shall be effective the I" day of January 2009, at 12:01 AM ("Effective Time and Date") in the jurisdiction in
which the Property is located.
