807, and more particularly described on Exhibit B attached hereto and

this reference is a copy of the Agreement for Engineering and Technical Services entered into
between Salt River Ranch, LLC and Sunrise Engineering, Inc., dated March 20, 2007.

AGREEMENT
FOR
ENGINEERING AND TECHNICAL SERVICES
This Agreement dated the 20th day of March, 2007, is entered into by and between SALT
RIVER RANCH, LLC (OWNER) and SUNRISE ENGINEERING, INC. (ENGINEER).
RECITAL
A. OWNER and ENGINEER desire to identify certain services to be performed by
ENGINEER from time to time pursuant to the terms of this Agreement and to reach certain
understandings with respect to such services.
AGREEMENT
It is therefore agreed as follows:
ARTICLE 1. DESCRIPTION OF WORK. ENGINEER shall perfonn needs assessments,
feasibility studies, design services, construction administration, construction observation, testing,
technical studies and engineering services and other services as may be mutually agreed to from
time to time by OWNER and ENGINEER and as more specifically described in Work Releases
(the "work"). Work Releases, which, when executed by OWNER and ENGINEER shall be
incorporated into this Agreement by reference. Engineer shall, except as provided otherwise in
this Agreement or in any Work Release, furnish all supervision, labor and materials for
performance of the work.
ARTICLE 2. TERM OF AGREEMENT AND SCHEDULE. The term of this Agreement
shall be from the effective date of the Agreement through December 31, 2010. The Agreement
shall thereafter automatically be extended for additional one year terms provided that neither
party terminates the Agreement. Term of work and schedule of work shall be stipulated in each
Work Release.
ARTICLE 3. CONSIDERATION AND PAYMENT.
3.1 For satisfactory perfonnance of the work, OWNER will pay ENGINEER consideration
determined in accordance with Work Releases executed by the OWNER and the
ENGINEER.

3.4
Compensation for engineering services shall be made in accordance with one of
following three methods: Compensation will be either 1) a negotiated lump sum, 2) a
cost reimbursement basis for actual time and expenses charged at the hourly rates and
fees indicated in the Work Release or 3) some other mutually agreed upon compensation
method. The specific method for compensation and associated engineering services to be
rendered' for such compensation shall be as outlined in each Work Release to this
Agreement.
All invoices submitted to OWNER for work performed shall contain references to the
date of this Agreement and the number of the Work Release issued for said work. When
required, invoices shall contain copies of supporting documents and proof of
expenditures on behalf of OWNER. Payment shall be made as outlined in each Work
Release to this Agreement.
Invoices will be submitted as outlined in each Work Release to this Agreement. Interest
may be added to accounts in arrears at the rate of one and five-tenths percent (1.5%) for
each month

ARTICLE 4. NON-EXCLUSIVE RIGHTS. Nothing in the Agreement is to be construed as
granting to ENGINEER exclusive rights to perform any or all of OWNER's requirements of the
type contemplated hereunder.
ARTICLE 5. CHANGES. OWNER may at any time, by written direction, require additional
work within the general scope of a Work Release, or any amendment thereto, direct the omission
of or variation in work, or alter the schedule. If such direction results in a material change in the
amount or character of the work, an equitable adjustment in the Work Release price and other
such provisions of the Work Release as may be affected shall be made and the Work Release
shall be modified in writing accordingly. All changes must be approved by OWNER. No other
employee of OWNER is authorized to make or allow changes.
ARTICLE 6. INDEMNIFICATION. ENGINEER specifically and expressly agrees to
indemnify and hold harmless OWNER from any and all claims, demands, suits, losses, costs, and
damages of every kind and description, any of the indemnities to the extent such claims,
demands, suits, losses, costs, and damages result from, arise out of, or are in any way connected
with any negligent act, error or omission of ENGINEER in the performance or nonperformance
of ENGINEER's obligations under this Agreement. The indemnity obligations under this article
shall include without limitation:
a. Loss or damage to any property of OWNER, ENGINEER, or any third party; and,
b. Bodily or personal injury to, or death of any person(s), including, without
limitation, employees of OWNER or its subcontractors of any tier.
ARTICLE 7. WORKERS' COMPENSATION. ENGINEER shall comply with all applicable
Workers' Compensation and Employer's Liability Acts in the states having jurisdiction and shall
furnish proof thereof satisfactory to OWNER when requested.

ARTICLE 8. INSURANCE.
8.1 ENGINEER shall, prior to commencing work, secure and continuously carry with
insurers the following insurance coverage:
Commercial General Liability insurance with a minimum single limit of $1,000,000.00.
The coverage shall include:

Products and Completed Operations

to protect against and from all loss by reason of injury to persons or damage to property,
including ENGINEER's own workers and all third persons, and property of OWNER and
all third parties based upon and arising out of the negligent performance of ENGINEER's
operations hereunder, including the operations of its subcontractors of any tier.
Business Automobile Liability insurance with a minimum single limit of $1,000,000.00
for bodily injury and property damage with respect to ENGINEER's vehicles whether
owned, hired or nonowned, assigned to or used in the performance of the work.
8.2 The policies required herein shall include provisions or endorsements naming OWNER
as additional insured.
ARTICLE 9. PROFESSIONAL RESPONSIBILITY. ENGINEER shall perfonn the work
hereunder using the standards of care, skill, and diligence normally provided by a professional in
the performance of such services with respect to work similar to that contemplated hereunder. In
the event of ENGINEER's failure to observe and adhere to this standard, ENGINEER shall, upon
notice from OWNER, promptly reperform the work at ENGINEER's sole cost.
ARTICLE 10. SUSPENSION OF WORK. OWNER may, by written notice, direct
ENGINEER to suspend performance of any or all of the work for a specified period of time. If
such suspension is not occasioned by the fault or negligence of ENGINEER, the notice may be
modified to compensate ENGINEER for extra costs incurred due to said suspension, provided
that any claim for adjustment is supported by appropriate cost documentation and asserted within
twenty (20) calendar days after the date OWNER issues an order for resumption of the work.
Upon receipt of such notice, ENGINEER shall a) discontinue work, b) place no further orders or
subcontracts, c) suspend all orders and subcontracts, d) protect and maintain the work, and e)
otherwise mitigate OWNER's costs and liabilities for those areas of work suspended.
ARTICLE 11. TERMINATION FOR CONVENIENCE. OWNER may terminate any work
release, or part thereof, at any time without cause prior to its completion by sending to
ENGINEER written notice of such termination. Upon such termination, OWNER shall pay to
ENGINEER full satisfaction and discharge of all liabilities and obligations owned to
ENGINEER an equitable amount for all work satisfactorily performed by ENGINEER as of the
date of termination, excluding damages or anticipated profits on work not yet performed.

ARTICLE 12. EXAMINATION OF WORK. All work will be subject to examination at any
reasonable time or times by OWNER, which shall have the right to reject unsatisfactory work.
Neither examination of work nor the lack of same nor acceptance of the work by OWNER nor
payment therefor shall relieve ENGINEER from any of its obligations under this Agreement.
ARTICLE 13. PROGRESS. ENGINEER shall submit periodic progress reports as reasonably
requested by OWNER. OWNER, its agents or representatives, may visit ENGINEER's office at
any reasonable time to determine status of ongoing activities required by this Agreement.
ARTICLE 14. OWNERSHIP OF DESIGNS AND DRAWINGS. The OWNER
acknowledges the design professional's plans and specifications as instruments of professional
service. The OWNER agrees to hold harmless and indemnify the ENGINEER against all
damages, claims, and losses, including defense costs, arising out of any reuse of the plans and
specifications without the written authorization of the ENGINEER.
ARTICLE 15. NONDISCLOSURE. ENGINEER will not divulge to third parties without the
prior consent of OWNER any information obtained from or through OWNER in connection with
the performance of this Agreement. Unless waived by OWNER, ENGINEER shall require its
employees and subcontractors of any tier to adhere to these nondisclosure terms.
ARTICLE 16. LAWS AND REGULATIONS. ENGINEER shall at all times comply with all
applicable laws, statutes, rules, regulations, and ordinances, including without limitation those
governing wages, hours, desegregation, employment discrimination, and safety. ENGINEER
shall comply with equal opportunity laws and regulations to the extent that they are applicable.
ARTICLE 17. PATENT AND COPYRIGHT.
17.1 INDEMNITY. ENGINEER shall indemnify, defend, and hold harmless the Indemnitees
against and from all claims, losses, costs, suits, judgments, damages, and expenses,
including attorneys' fees, of any kind of nature whatsoever on account of infringement of
any patent, copyrighted work, secret process, trade secret, unpatented invention, article,
or otherwise, including claims thereof pertaining to, or arising from ENGINEER's
performance under this Agreement.
17.2 Should ENGINEER's employees, officers, agents, subcontractors of any tier, or anyone
of a like nature in the performance of the work or as a result of performing the work,
develop any trade secret, prepare any copyrighted material, make any improvement,
originate any invention, develop any process or otherwise, such trade secret, copyright,
improvement, invention, or process shall be the property of ENGINEER, but ENGINEER
shall grant or cause to be granted to OWNER the right and/or license to permanently use,
or cause to be used for the benefit of OWNER any such trade secret, copyright,
improvement, design, invention, or process in any manner for so long as OWNER desires
to use same for OWNER's own internal use.
ARTICLE 18. LIMITATION OF LIABILITY. ENGINEER shall procure and maintain
insurance as required and set forth above. Notwithstanding any other provision of this
Agreement, and to the fullest extent permitted by law, the total liability, in the aggregate, of

ENGINEER and ENGINEER'S officers, directors, partners, employees, agents, and
ENGINEERS's Consultants, and any of them, to OWNER and anyone claiming, by, through, or
under OWNER for any and all claims, losses, costs, or damages whatsover arising out of,
resulting from or in any way related to the Proj ect or the Agreement from any cause or causes,
including but not limited to the negligence, professional errors or omissions, strict liability or
breach of contract, or warranty express or implied, of ENGINEER or ENGINEER'S officers,
directors, partners, employees, agents, or ENGINEER'S Consultants, or any of them (hereinafter
"OWNERS Claims"), shall not exceed the total insurance proceeds paid on behalf of or to
ENGINEER by ENGINEER'S insurance policies applicable thereto (excluding fees, costs and
expenses of investigation, claims adjustment, defense, and appeal). If no such insurance
coverage is provided with respect to OWNERS'S Claims, then the total liability, in the
aggregate, of ENGINEER and ENGINEER'S officers, directors, partners, employees, agents,
and ENGINEER'S Consultants, and any of them to OWNER and anyone claiming by, through,

ARTICLE 19. OPINIONS OF PROBABLE COST. In providing opinions of probable
construction cost, the OWNER understands that the ENGINEER has no control over the costs or
the price of labor, equipment or materials, or over the Contractor's method of pricing, and that
the opinions of probable construction costs provided herein are to be made on the basis of the
ENGINEER's qualifications and experience. The ENGINEER makes no warranty, expressed or
implied, as the accuracy of such opinions as compared to bid or actual costs.
ARTICLE 20. INDEPENDENT CONTRACTOR. ENGINEER shall perform the work as an
independent Contractor, and all persons employed by ENGINEER in connection herewith shall
be employees of ENGINEER, and not employees of OWNER in any respect.
ARTICLE 21. ASSIGNMENT. ENGINEER shall not assign this Agreement, or any part
thereof, without the prior written consent of OWNER, and any attempted assignment in violation
whereof shall be void.
ARTICLE 22. RIGHT TO RETAIN SUBCONSULTANTS. The ENGINEER may use the
services of sub consultants when, in the ENGINEER's sole opinion, it is appropriate and
customary to do so. Such persons and entities include but are not limited to, surveyors,
specialized consultants and testing laboratories. The ENGINEER's use of other consultants for
additional services shall not be unreasonably restricted by the OWNER provided the
ENGINEER notifies the OWNER in advance.
ARTICLE 23. NOTICES. Any notice by either party to the other hereunder shall be served if
delivered in person, to the office of the representative authorized and designated in writing to act
for the respective party, or; if deposited in the mail, properly stamped with the required postage
and addressed to the office of such representative. Either party may change its representative or
address by giving the other party written notice of such change. Unless otherwise notified,
notices shall be given as follows:

ARTICLE 24. DISPUTES. Unless otherwise provided in this Agreement, all claims, counter-
claims, disputes, and other matters in question between OWNER and ENGINEER arising out of
or relating to this Agreement or the breach of it will be decided by arbitration if the parties
mutually agree, or in a court of competent jurisdiction within the State in which the OWNER is
located.
ARTICLE 25. THIRD PARTY BENEFICIARIES. Nothing contained in this Agreement
shall create a contractual relationship with or a cause of action in favor of a third party against
either the OWNER or ENGINEER. ENGINEER's services under this Agreement are being
performed solely for the OWNER's benefit, and no other entity shall have any claim against the
ENGINEER because of this Agreement or the performance or non-performance of services
hereunder.
ARTICLE 26. ACCOUNTING AND AUDITING. ENGINEER shall keep accurate and
complete records in support of all remuneration paid hereunder in accordance with generally
recognized accounting principles and practices. OWNER, or its audit representative, shall have
the right at any reasonable time to examine, audit, and reproduce all records pertaining to costs,
including but not limited to payrolls, employees' time sheets, invoices, and all other evidence of
expenditures for the work. Such records shall be available for one (1) year after completion of
the work.
ARTICLE 27. NONWAIVER. The failure of OWNER to insist upon or enforce strict
performance by ENGINEER of any of the terms of this Agreement or to exercise any rights
herein shall not be construed as a waiver or relinquishment to any extent of its right to assert or
rely upon such terms or rights on any future occasion.
ARTICLE 28. SEVERABILITY. Any provisions of this Agreement prohibited, or rendered
unenforceable by local, state, or federal law shall be ineffective only to the extent of such
prohibition or unenforceability without invalidating the remaining provisions of this Agreement.
ARTICLE 29. EMPLOYMENT FEES. In the event the OWNER hires directly any employee
of the ENGINEER within one year after final payment on this Agreement, the OWNER agrees to
reimburse ENGINEER a monetary amount equal to six months wages for the employee so hired
by OWNER as an employment fee. The employment fee shall be calculated as six times the
gross monthly full time wages as paid by the ENGINEER prior to the hiring.
ARTICLE 30. GOVERNING LAW. This Agreement shall be interpreted in accordance with
the substantive and procedural laws of the State of Wyoming.

ARTICLE 31. ENTIRE AGREEMENT. This Agreement and any referenced attachment
constitute the complete agreement between the parties.
ARTICLE 32. EXECUTION AND EFFECTIVE DATE. This Agreement has been executed

WORK RELEASE NO.1
This Work Release is entered into by and between SAL T RIVER RANCH, LLC.
(OWNER) and SUNRISE ENGINEERING, INC. (ENGINEER).
RECITAL
Pursuant to Article I of the Agreement for Engineering and Technical Services, dated
March 20, 2007, hereinafter referred to as the "Agreement", the OWNER and
ENGINEER desire to identify certain work and service to be performed by ENGINEER
pursuant to the Agreement. The OWNER intends to retain general engineering services
hereinafter referred to as "Project" and for which the ENGINEER agrees to perform
various professional engineering services.
ARTICLES
This project involves the development of a parcel ofland approximately 165 +/ - acres in
size near Alpine, Wyoming. The land is a picturesque parcel covered with trees and
includes the Salt River flowing through it. The land is challenged with steep terrain and
clayey soils. Once a conceptual layout is designed, a zoning change will necessarily
have to be approved to accomplish the desired density. Community water and
wastewater systems will have to be constructed which will be privately owned and
operated eventually by the homeowners association.
It is agreed that the engineer will perform the following:
SCOPE OF WORK;
ARTICLE 1. PRELIMINARY GEOLOGY & LAYOUTS
1. Geological Landslide Evaluation: The ENGINEER will coordinate with and
oversee the Sub-consultant to complete a landslide analysis of the project site to
determine active landslides. This will assist the ENGINEER in laying out the
subdivision to avoid problem areas. The cost of this service is Three Thousand
Dollars ($3,000) for the Geology Company and Three Thousand Five Hundred
Dollars for the ENGINEER, for a total of Six Thousand Five Hundred Dollars
($6,500). This task has been completed and billed under a separate agreement.
2. Preliminary Lot Layout: ENGINEER will produce layout options for the
development. They will work closely with the OWNER until a subdivision layout
is agreed upon. The cost for this service is Twenty One Thousand Two Hundred
Thirty dollars, ($21,230). A portion of this task has been completed and billed.

ARTICLE 2. ENGINEERING STUDIES
1. WDEQ Water Adequacy Study: This study is required by the Wyoming
Department of Environmental Quality and Lincoln County for all new
subdivisions over 5 lots. We will determine if water adequate for your
subdivision is available, both in quantity and quality. The cost of this study is Six
Thousand Eight Hundred and Fifty Dollars ($6,850). If a desktop analysis
proves inadequate to demonstrate adequate water sources, it may be necessary to
drill one initial well. The cost of that well drilling and engineering supervision is
not included in this work release.
2. WDEQ Wastewater Adequacy Study: This study is also required by the
Wyoming Department of Environmental Quality and Lincoln County for all new
subdivisions over 5 lots. We will determine if the proposed method of wastewater
treatment and disposal is adequate for your subdivision and will not cause
pollution issues. The type and manufacturer of the wastewater treatment plant
will be determined during this study. The cost of this study is Eight Thousand
Nine Hundred and Fifty Dollars ($8,950).
3. Preliminary Cost Estimates: The ENGINEER will put together Opinion of
Probable Costs for development of the subdivision, including rezone and platting,
surveying, engineering, and construction of infrastructure improvements as
outlined. The cost of this service is Three Thousand Four Hundred and Twenty
Dollars ($3,420).
ARTICLE 3. PLATTING AND INFRASTRUCTURE DESIGN
1. Zone Change: These services include attendance at Planning and Zoning and
County Commissioners meetings as required, along with providing required data
to the County, during the Zone Change process. A site plan map will be drawn
for presentation to the Planning & Zoning Commission and County
Commissioners. This effort will cost Eight Thousand Three Hundred and Ten
Dollars ($8,310).
2. Platting: These services include attendance at Planning and Zoning and
County Commissioners meetings as required, along with providing required data
to the County and the Conservation District during the Subdivision process. A
conceptual plan will be drawn for presentation to the Planning & Zoning
Commission. Layout options will be refined into a final plat. The completed final
plat will be submitted to the County for approval. The final plat will need to be
prepared, stamped, and field corner monumented by a licensed surveyor hired and
paid for independent of this contract. Surveying Services are not included in this
Scope. Managing this platting effort will cost-B1,*teen Thousand Eight Hundred

3. Wastewater Collection and Treatment Plant: The ENGINEER will design the
wastewater collection system that will be installed throughout the project site to
collect wastewater from each lot. Detail plans and specifications will be
produced. Also included in this task is the work associated with the treatment
plant. The plan at this point is to evaluate and interview two or more wastewater
treatment package plants manufacturers that have existing plans in cold weather
regions. Constructability, cost, warrantee, serviceability, and effluent quality will
be key factors in the selection of the desired treatment plant. The ENGINEER
will make recommendations to the OWNER, but the OWNER reserves the right
to make the final selection. The ENGINEER will then design the infrastructure
,around the plant based on the selected equipment. A Permit to construct both the
collection system and the treatment facility will be submitted to the Wyoming
Department of Environmental Quality by the ENGINEER. The cost to complete
this task is Sixty Six Thousand Two Hundred Forty Dollars, ($66,240).
4. Water System Design: These services include the design of the water system,
along with creation of plans and specifications. The water design will include two
new wells, a reinforced concrete storage tank, distribution piping and fire
hydrants throughout the subdivision. Additional off-site improvements (if
required for adjacent developments) are not included in this proposal. The plans
and specifications for the water system will be submitted to WDEQ for their
approval. Power and telephone facilities are not included, and are normally
designed by the respective utility company. The cost to complete this task is Fifty
Eight Thousand One Hundred Eighty Dollars, ($58,180)
5. Road Design: These services include the design of the subdivision road
improvements, along with creation of plans and specifications. It is anticipated
that the roads will be paved with asphalt. Where this project ties into a COlll1ty
road, it is not anticipated that WYDOT will be involved. The work includes plan
and profile, details, and typical cross sections. If retaining walls are required on
the project, design of such is not included in this contract. Geotechnical
laboratory analysis to establish strength of soils and angle of slope stability is
included in this work. The cost to complete this task is Thirty Seven Thousand
Two Hundred Thirty Dollars, ($37,230).

documents, attendance atl an on-site pre-bid tour, and clarification of bidding

2. Construction Management: These services include oversight and
administration of the construction contract. Two contract options are
presented herein. The OWNER may select to have a full time inspector
during the construction process, along with the project engineer's overall
observation of the work. The alternative is not to have an assigned full-time
inspector, but rather have the engineer visit the site weekly. This option, of
course leaves the OWNER more at risk. Contract Record Drawings of the
project will be produced and submitted to WDEQ with either option. The
construction time frame for the contractor as established for this contract is
predicted to be four months (120 calendar days). Engineering oversight and
full-time inspection will cost One Hundred Fourteen Thousand Eight Hundred
Forty Dollars ($114,840). Engineering oversight with no inspector will cost
Sixty Five Thousand Five Hundred Dollars ($65,500).
ARTICLE 5. COMPENSATION
The OWNER agrees to compensate the ENGINEER for services of Work Release No.1
Salt River Ranch, LLC. platting, design and construction assistance for the lump sum
amounts summarized below. These payments shall be considered complete
compensation for all engineering services outlined in this agreement. The lump sum
fees are broken out as follows:

The OWNER desires the ENGINE~R to work on multiple tasks under multiple phases in
