FOR VALUE RECEIVED, Assignor hereby endorses, negotiates, sells, assigns, conveys, and transfers to Assignee, for the benefit of Assignee and Lenders (as defined in the Loan and Security Agreement) as collateral security for the performance of the Obligations (as defined in the Loan and Security Agreement) all of Assignor's right, title, and interest in and to that certain Mortgage, Deed of Trust, Security Agreement and Assignment of Leases dated SLL J iar`' 2008 executed by ROCKY MOUNTAIN ROGUES, INC., a Wyoming Corporation, recorded on 2008 in the appropriate real property records of LINCOLN County, Wyoming, at Volume Co 91 1, Page Cc J S 1 thereof (hereinafter called the "Mortaaae describing certain real property therein (the "Real Property") as: 601C Part of Lotfilfe of Lakeview Estates Incorporated, Tracts A -F, LINCOLN County, Wyoming, on January 5, 1965, as Receiving No. 386448, as Plat No. 157, more particularly described as follows: Beginning at a point which is S29°05'W, 772.00 feet from the Northwest corner of SE%, Section 29, T37N, R118W of the 6 PM, LINCOLN County, Wyoming and running thence S63°W, 205.00 feet; them N27°W, 211.3 feet to right of way of U.S. Highway 89, thence Northeast along right of way U.S. Highway 89 around curve thereof to a point which is N27°W, 231.6 feet from beginning point; thence N27°E, 231.6 feet to the point of beginning. TOGETHER, with the note or notes and the other documents, instruments, and agreements therein described or referred to, the money due and to become due thereon with interest, and all rights accrued or to accrue under said Mortgage and all related loan documents. 2. The provisions of this Assignment shall be binding upon and shall inure to the benefit of Assignor and Assignee and their respective heirs, executors, administrators, successors and assigns. 3. If any provision of this Assignment or the application thereof to any person or circumstance shall be invalid or unenforceable to any extent under applicable law, the remainder of this Assignment and the application of such provisions to other persons or circumstances shall not be affected thereby and shall be enforced to the greatest extent permitted by law. 5. This Assignment shall be interpreted, construed and enforced according to the laws of the state in which the Real Property is located. 6. Neither this Assignment nor any provisions hereof may be changed, waived, discharged or terminated orally, but only by an instrument in writing signed by the party against whom enforcement of the change, waiver, discharge or termination is sought. above.
