THIS CERTIFICATE OF SALE is made and delivered this

November 2009, by the Sheriff of Lincoln County, Wyoming, to Regions Bank:
WITNESSETH:
WHEREAS, Kemmerer, BLM, L.L.C. as mortgagor did execute a Mortgage to
Regions Bank, as mortgagee securing the original obligation of $1,825,000.00, which
mortgage was recorded was recorded on October 4, 2006 in Book 635, page 888 and on
October 10, 2006 in Book 636, page 420 in the office of the Lincoln County Clerk in
Kemmerer, Wyoming affecting real property in Kemmerer, Lincoln County, Wyoming
legally described on the attached Exhibit A; and
WHEREAS, default has occurred in the payment of the amount owed to the
mortgagee under the Mortgage which mortgage contained a power of sale having
been made operative by reason of such default and written notice of the intention to
foreclose the Mortgage was served upon the record owner and the party in possession
of said real property at least ten (10) days prior to commencement of the first
publication of the foreclosure sale notice and a copy of the Foreclosure Sale Notice
was served upon the record owner and party in possession as well as the junior
lienholders as evidence by the attached Attorney's Affidavit; and
WHEREAS, notice as required by law has been given and published of the sale
of said premises by being published for four (4) consecutive weeks on September 24,
October 1, 8, 15, 2009 in the Kemmerer Gazette, a newspaper of general circulation
printed and published in Kemmerer, Lincoln County, Wyoming, and that said Notice
specified as evidenced by the attached Affidavit Of Publication:
1. The name of the property owner and the mortgagee;
2. The date of the mortgage and the date and place where recorded;
3. The amounts claimed to be due thereon at the date of the Notice;
4. The description of the mortgaged premises conforming to that on which
the mortgage was placed; and
5. The time and place of sale; and
WHEREAS, said sale was held at public venue in accordance with said Notice
of Sale and at the time and place therein set forth, to -wit: At 10:00 o'clock in the
morning on the 20th day of October, 2009 at the front door of the Lincoln County

Courthouse, Kemmerer, Lincoln County, Wyoming, said sale being made by the
undersigned; and
WHEREAS, at said sale, Regions Bank purchased the real estate above
described for the sum of Two Hundred Eighty Seven Thousand Four Hundred
Seventy Two Dollars ($287,472.00); and
WHEREAS per the attached Attorney's Affidavit there has been no agreement,
express or implied between Hess Carlman D'Amours, LLC, and Regions Bank, nor
between Hess Carlman D'Amours, LLC, and any other person for a sharing or
division of the attorney's fees added to the mortgage debt involved and said
attorney's fees added to the mortgage debt is compensation for services actually
rendered in the foreclosure proceeding;
NOW, THEREFORE, by virtue of the sale, the purchase and the payment of
said money as aforesaid by said purchaser, and by virtue of the authority vested in me
by law, I hereby give and grant this Certificate of Sale to the said Regions Bank, whose
address is 1111 West Mockingbird Lane, 12th Floor, Dallas, Texas 75247, and do
hereby certify that at the time of the expiration of the period of redemption provided
by law (three months and thirty days from October 20, 2009), by virtue of said sale,
provided only that said real estate is not redeemed prior to that time, I will give and
grant unto said purchaser or its assignee, a Sheriff's Deed conveying all of the title in
and to said premises and all thereof, held by said mortgagor, at the time of the
execution of said mortgage, or at any time since acquired.

I represent Regions Bank which is the holder of that Promissory Note (the
"First Note dated October 2, 2006 payable to Regions Bank in the Principal Amount
of $1,825,000.00 secured by that certain Mortgage (the "First Mortgage recorded on
October 4, 2006 in Book 635, page 885 and October 10, 2006 in Book 636 Page 420 in
the office of the Lincoln County Clerk in Kemmerer, Wyoming.
Regions Bank is also the holder of a Second Promissory Note (the "Second
Note dated June 18, 2008 payable to Regions Bank in the Principal Amount of
$300,000 secured by a Second Mortgage instrument (the "Second Mortgage recorded
July 27, 2008 in Book 698 Page 531 in the office of the Lincoln County Clerk in
Kemmerer, Wyoming. The First Note and the Second Note are collectively referred to
herein as the "Promissory Notes
The mortgaged real property is located at 430 Hwy 189 North in Kemmerer,
Wyoming and legally described on the attached Exhibit A.

Bank's intent to foreclose its First Mortgage by advertisement and sale. Publication of
notice of foreclosure sale will be commenced within the next month in the Kemmerer
Gazette newspaper in Kemmerer, Lincoln County, Wyoming with a sheriff's foreclosure
sale held at the Lincoln County Courthouse in Kemmerer, Wyoming following the
fourth publication.
We will proceed with foreclosure proceedings until such time as payment of the
full amount on the First Note is received.
Notwithstanding anything herein, to the extent any party obligated under the
Promissory Notes, the First Mortgage, the Second Mortgage, or other loan documents
has been discharged or dismissed by, or is subject to the protection or proceedings of,
a bankruptcy court acting under the United States Bankruptcy Code, such party is
advised that this communication is transmitted to such party for compliance with the
applicable state law requirements, loan document requirements and informational

Said Mortgage secures payment of a Promissory Note executed on the 2nd day
of October, 2006, in favor of Regions Bank in the original amount of $1,825,000.00. The
maker of said note is in default having not made monthly payments of principal and
interest due thereunder, and thus a default in the requirements and conditions of said
Mortgage has become operative. The amount due and owing on the date of the first
publication of this notice of sale is the total surn of $1,919,612.25 which sum consists of
the unpaid principal balance of $1,825,000.00 plus interest, costs, late charges, and
attorney's fees accrued to the date of first publication, plus interest, costs, attorney's
fees, and other outstanding charges accruing after the first date of publication of this
notice of sale. Regions Bank elected to declare the entire unpaid balance of the

The property being foreclosed upon may be subject to other liens and

Pursuant to said Mortgage and the Wyoming statutes, said Mortgage will be
foreclosed and the above- described mortgage premises will be sold at public auction
to the highest bidder for cash, by the Sheriff of Lincoln County, Wyoming, or his
agent, on the 20th day of October, 2009, at 10:00 o'clock a.m., at the front door of the
Lincoln County Courthouse, 925 Sage Avenue, Kemmerer, Wyoming.

Frank Hess, being duly sworn, deposes and says:

1. I am a licensed Wyoming attorney with my office in Jackson, Wyoming,
and am the attorney of record for Regions Bank in the matter of the foreclosure of
Kemmerer, BLM, L.L.C.'s real property set forth below, and have personal knowledge
of the facts set forth in this affidavit.
2. Kemmerer, BLM, L.L.C. as mortgagor did execute a Mortgage to
Regions Bank, as mortgagee securing the original obligation of $1,825,000.00, which
mortgage was recorded was recorded on October 4, 2006 in Book 635, page 888 and on
October 10, 2006 in Book 636, page 420 in the office of the Lincoln County Clerk in
Kemmerer, Wyoming affecting real property located in Lincoln County, Wyoming,
more particularly described on the attached Exhibit A.
3. Written notice of intent to foreclose the Mortgage by advertisement and
sale was served upon the record owners Kemmerer, BLM, L.L.C. by U.S. Mail at least
ten (10) days before commencement of the first publication of the notice of the
foreclosure sale. Notice Of Intent To Foreclose was mailed via Certified Mail on
September 1, 2009 to Kemmerer, BLM, L.L.C., and a copy of the Foreclosure Sale
Notice as published in the Kemmerer Gazette was mailed via Certified Mail to
Kemmerer, BLM, L.L.C. and the junior lienholders on September 18, 2009 all as more
specifically set forth in the Certificate Of Sale.
4 The Foreclosure Sale Notice was printed in the Kemmerer Gazette on
September 24, October 1, 8, 15, 2009 with the Mortgage Foreclosure Sale held on
October 20, 2009 by the Lincoln County Sheriff.
5. There has been no agreement, express or implied between the
undersigned attorney and Regions Bank, nor between the undersigned and any other
person for a sharing or division of the attorney's fees added to the mortgage debt
involved and said attorney's fees added to the mortgage debt is compensation for
