Smith and Tina N. Smith as Trustees for the Smith Family Trust, hereinafter referred to as "Smiths Article I Purpose This Settlement Agreement is made as a compromise between the parties for a complete and final settlement of their claims, differences, and causes of action with respect to the dispute described below and represents a full and complete settlement between Jones and Smiths. A controversy exists between the Jones and the Smiths relating to the rights of the respective parties pertaining to an easement that crosses the Smiths property, a copy of said easement being attached hereto marked Exhibit "A" and by this reference made a part hereof and hereinafter referred to as the "2001 Easement." In addition there are other issues as raised in the Complaint and Counterclaim that have been filed herein and this settlement relates to all of the allegations set forth in the Complaint and the answers and other pleadings that have been filed in this action as well as the Counterclaim and all replies and other pleadings that have been filed pertaining to the same. The civil action based on this controversy has been filed and is now pending in the above entitled action in the District Court for the Third Judicial District, County of Lincoln, State of Wyoming. The properties in question which are subject to this Settlement Agreement are the properties owned by the Smiths as set forth on that certain Warranty Deed, a copy of which is attached hereto marked Exhibit "B" and by this reference made a part hereof and hereinafter referred to as the "Smith Property" and the property owned by the Jones as evidenced by that certain Warranty Deed, a copy of which is attached hereto marked Exhibit "C" and by this reference made a part hereof and hereinafter referred to as the "Jones Property." Article III Terms of Settlement C •0u263 In consideration of the mutual covenants and promises set forth herein and the mutual releases as set forth herein, the parties agree as follows: A. Jones and Smiths do hereby agree that the "2001 Easement a copy of which is attached hereto as Exhibit "A" is a valid easement pursuant to the express terms therein and the parties reaffirm the terms of said easement and the binding effect thereof as far as the respective parties named therein. Pursuant to said "2001 Easement" Jones is entitled to access across the Smith property for ingress, egress and utilities. B. It is acknowledged that both Jones and Smiths are both predecessors in interest to the parties named in the "2001 Easement" with the Smiths having acquired property from the Noah Hillstead Family Trust in the Warranty Deed attached as Exhibit "B" and the Jones having acquired property from a trust of Brian Peads entitled Mosiah 4:14 Trust as reflected in the Warranty Deed attached as Exhibit "C C. Smiths acknowledge the Jones have an easement for ingress and egress across the Smith property for the purpose of providing ingress and egress and utilities to the Jones property as described herein. D. Jones specifically agree and acknowledge that the "2001 Easement" above described may be used for access and utilities to their property and further agree that the Jones property will not be used for more than one single family residence and that the "2001 Easement" may not be used by the Jones for access or utilities as part of any future division, subdivision, plot division, creation of multiple residence or ownership by virtue of common ownership through an association, corporation, trust, partnership, limited liability or any other entity or any other further development of the Jones land without the prior written consent of all grantees of the "2001 Easement" or their heirs, successors in interest or assigns. E. That the Jones acknowledge that the Smiths are entitled to reimbursement for utilities that had been extended through the Smith property which utilities will now be further extended to the Jones property pursuant to the extension policy of Lower Valley Energy and Jones agree to cooperate with Smiths as far as Smiths receiving said reimbursement. F. Right of First Refusal: The Jones hereby grant to the Smiths a right of first refusal which shall commence on the effective date of this Settlement Agreement pertaining to the property referred to as the "Jones Property" a copy of which is described on Exhibit "C." In the event that Jones shall decide to sell all or any part of the "Jones Property," the Jones shall then first offer to the Smiths the right to purchase said property at the price and on the same terms of any intended sale. It being agreed that the Jones have previously granted a similar right of first refusal to Brian Pead and this right of first refusal shall be contingent and secondary to said right of first refusal previously granted to Brian Pead. This right of first refusal shall commence as of the effective date of this agreement and shall continue in effect for a fifteen (15) year period from date of the same. Written notice of any intended sale, (hereinafter referred to as "Notice of Intended Sale must be given to the Smiths at the following address by certified mail return receipt requested and Smiths shall then have thirty (30) days from the receipt of said notice to notify the Jones of their intent to exercise this right of first refusal and to accept the offer of the intended sale on the same terms and conditions set forth in the "Notice of Intended Sale." The notice to Smiths shall be sent to the following address: Jeffrey C. and Tina N. Smith, 192 Hawthorne Drive, Atherton, CA 94027. This right of first refusal period shall terminate automatically (without any notice) from the Jones's at the expiration of thefifteen (15) year period or at the expiration of the thirty (30) day notice period provided for in this paragraph if the Smiths do not exercise their right of first refusal set forth herein. Notice of acceptance of any intended sale and the exercise of this right of first refusal shall be by written notice from the Jones's to the Smiths at the address specified herein and shall be given by certified mail William Lucas Jones et al vs. Jeffrey C. Notice of acceptance of any notice of intended sale shall be given by Smiths to Jones at the address set forth herein: William Lucas Jones and Carlee Jones Wicks, c/o Mike Allen, P.O. Box 159, Afton, WY 83110. G. The parties agree that Smiths have made certain improvements to the roadway described on the above referred to "2001 Easement" and in the event that said improvements to the roadway are damaged as a result of travel by the Jones, the Jones contractor or others traveling to the Jones property at the request and invitation of the Jones shall be repaired and the roadway maintained in the same present condition as it exists as of the date of this agreement. It is Acknowledged by Jones that they are constructing a home on the Jones property and that as a result thereof their contractors are traversing the roadway in question with cement trucks, and other heavy equipment and the Jones and their contractors agree to be responsible for any such damage to the roadway caused by said vehicles. H. It is further agreed that pursuant to the "2001 Easement the Jones and Smiths as well as other parties named in the "2001 Easement" shall be responsible for any and all costs of construction and maintenance of the road that is located upon said easement that benefits their respective properties. Jones and Smiths agree that they will each pay their reasonable and fair share of any such construction and maintenance costs annually that are incurred. In determining their respective reasonable and fair shares, consideration shall be given to the amount and nature of the use made of the road by the respective parties and the amount and nature of any damage to the road resulting from said use. If either party fails to pay their reasonable and fair share, the parties then agree that the matter shall be submitted to a mediator selected by the parties. If the parties carmot agree on a mediator or if the mediation fails to resolve the issue, then either party shall have the right to bring legal action pursuant to the terms of the "2001 Easement" to compel such payment and in the event of such legal action the prevailing party will be entitled to recover their reasonable attorneys' fees and costs in addition to any other relief granted. The parties agree that the Complaint filed by the Jones and the Counterclaim filed by the Smiths in the above referred to lawsuit will be dismissed, with prejudice, upon the execution of this Settlement Agreement and each party will pay their own costs and attorneys' fees and each party agrees to mutually release the other parties from any and all claims as alleged in said Complaint and Counterclaim. J. The parties acknowledge that this is a settlement of a disputed claim and none of the parties acknowledge, nor confess, any liability, and this Settlement Agreement will be a complete release of any and all claims as alleged in the Jones Complaint and the Smiths' Counterclaim filed herein as well as any other pleadings filed herein. K. This agreement will bind and extend to the parties and their respective legal representatives, successors and assigns. Article IV No Admission of Liability It is understood that neither party to this agreement acknowledges, confesses or admits any liability to the other and that the parties agree to be bound by the terms of this Settlement Agreement. Article V Dismissal of Action Jones and Smiths do hereby authorize and instruct their respective attorneys to sign the Stipulation of Dismissal with Prejudice dismissing the Complaint filed herein and to obtain an order of the Court dismissing said action. Article VI Counterparts This Settlement Agreement may be executed in multiple counterparts, each of which shall be deemed to be an original. William Lucas Jones et al vs. Jeffrey C.
