HomeMy WebLinkAbout950699STATE OF WYOMING COUNTY OF LINCOLN KNOW ALL MEN BY THESE PRESENTS: THAT, EnCana Oil Gas (USA) Inc., a Delaware corporation, whose address is 370 Seventeenth Street, Suite 1700, Denver, Colorado 80202, hereinafter referred to as "Grantor," for and in consideration of the sum of Ten Dollars ($10.00) and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged for all purposes, and subject to the terms and provisions hereof, by these presents does GRANT, BARGAIN, SELL, TRANSFER, ASSIGN, CONVEY AND DELIVER, unto PENROC OIL CORPORATION whose address is P.O. BOX 2769, HOBBS, NM 88241 -2769 hereinafter referred to as "Grantee," all of Grantor's right, title and interests in and to the interest in the oil, gas and other minerals and the oil, gas and other mineral royalties described in the instrument referred to in Exhibit "A" attached hereto and made a part hereof for all purposes (the "Mineral Interests including, but not limited to, all of Grantor's right, title and interest in, to and under the following: A. The Mineral Interests, subject to, as applicable, all existing and valid reservations, restrictions, encumbrances, leases and deeds (i) relating to the Mineral Interests and /or (ii) set forth in Exhibit "A B. All wells, equipment and facilities, located on or used in connection with the Mineral Interests, including, but not limited to, pumps, other well equipment (surface and sub surface), gas plants, compressors, compressor stations, dehydration facilities, treating facilities (including desulfurization facilities), gathering lines, flow lines, transportation lines (including long lines and laterals), valves, meters, separators, tanks, tank batteries and other fixtures; C. Oil, condensate, and natural gas liquid production unit inventory, including "line fill" and inventory below the pipeline connection in tanks as of the Effective Time; D. Contracts and contractual rights, obligations and interests including, but not limited to, unit agreements, drilling contracts, operating agreements, well service contracts, production sales contracts, storage or warehouse agreements, supplier contracts, service contracts, construction agreements, pumping and roustabout agreements, only insofar as such relate to the lands being assigned, if any; F. All easements, licenses, authorizations, permits, and similar rights and interests applicable to or used or useful in connection with, any or all of the interests described herein; and G. Any interest included within the field, property or Mineral Interest described in the attached Exhibit "A which interest is not described or is incorrectly described herein. With respect to the wells, personal property, and equipment assigned hereby, this Mineral Deed is made without representation or warranty of title expressed or implied, and all such equipment, wells and personal property are sold AS IS AND WHERE IS AND WITHOUT WARRANTY OF MERCHANTABILITY, CONDITION OF FITNESS FOR PARTICULAR PURPOSE, AND ANY AND ALL WARRANTIES, WHETHER EXPRESSED OR IMPLIED ARE HEREBY EXPRESSLY DENIED. TO HAVE AND TO HOLD, the above Mineral Interests with all and singular the rights, privileges, and appurtenances thereunto or in any wise belonging to the said Grantee herein, its heirs, successors, personal representatives, administrators, executors, and assigns forever, and Grantor does hereby warrant said title to Grantee, its heirs, executors, administrators, personal representatives, successors and assigns forever and does hereby agree to defend all and singular the said property unto the said Grantee herein, its heirs, successors, executors, personal representatives, and assigns against every person whomsoever claiming or to claim the same or any part thereof by through or under Grantor, but not otherwise.
