OR OVERRIDING ROYALTY INTEREST
THIS ASSIGNMENT, CONVEYANCE AND BILL OF SALE effective as of December
1, 2008 at7:00 a.m., local time (the "Effective Time is from Michael J. Moncrief, Trustee of the

BACKGROUND RECITALS
WHEREAS, by instruments executed January 5, 1996 and recorded on December 3, 1996,
Document 830027, Book 391, page 366, in Lincoln County, Wyoming reflect that the Michael J.
Moncrief Grantors Trust is the owner and holder of a mineral interest, royalty, working interest and
or overriding royalty interest in and under lands as described in said instrument and incorporated
herein by reference and further defined below (collectively, the "Interests and
WHEREAS, the Michael J. Moncrief Grantors Trust has sold to the Michael J. Moncrief
2008 Trust A all of its interest in and under land described in said instrument;
NOW, THEREFORE, for Ten Dollars and other good and valuable consideration, the
receipt and sufficiency of which Assignor hereby acknowledges, Assignor has TRANSFERRED,
ASSIGNED, GRANTED, BARGAINED, SOLD, CONVEYED, SET OVER AND
DELIVERED, and does hereby TRANSFER, ASSIGN, GRANT, BARGAIN, SELL, CONVEY,
SET OVER and DELIVER, to Michael J. Moncrief, Trustee of the Michael J. Moncrief 2008 Trust
all the right, title and interest of Assignor in and to the Mineral Interests, Royalty, Working
Interests and or Overriding Royalty Interests in and under the lands as described or set out in the
"Interests
TO HAVE AND TO HOLD the Interests unto the Assignee and its heirs, successors and
assigns forever; and Assignor does hereby bind itself, its legal representatives and assigns to warrant
and forever defend all and singular the Interests, unto the Assignee, its legal representatives,
successors, and assigns, against every person whomsoever lawfully claiming or to claim the same or
any part thereof by, through, or under the Assignor, but not otherwise.

This Conveyance shall be binding upon and shall inure to the benefit of Assignor and
Assignee and their respective heirs, successors and assigns.
The intent of the Assignor in this conveyance is to transfer all ownership interests of all
properties owned by Assignor wherever located in this County to Assignee. Exhibit "A" lists all
known property owned by Assignor as of December 1, 2008, but this conveyance also applies to any
and all property owned by Assignor as of this date even if that property is not listed on Exhibit "A
