BEND MEADOWS, LLC, a Wyoming limited liability company, as Mortgagors to 1 BANK,
as Mortgagee, dated July 5 2006 and recorded August 9, 2006 in Book 629 P.R., page 544,
Receiving No. 921089; and modified in that certain Modification of Mortgage dated June 28,
2007 and recorded July 5, 2007 in Book 664 P.R., page 503, Receiving No. 930944; and further
modified in that certain Modification of Mortgage dated January 21, 2010 and recorded 01/22/20
in Book 740 P.R., page 717 Receiving No. 951762 of the records of
Lincoln County, Wyoming and concerning the real property in Lincoln County, Wyoming
described as follows:
PARCEL 1: Lots 1, 2, 3, 4, 5, 6, 10, 11, 16, 17, 18, 19, 20, 21, 22, 26, 27, 28, 29, 30, 32, 33 and 35 of
RIVER BEND MEADOWS SUBDIVISION, Lincoln County, Wyoming, as shown on the official plat
thereof filed November 29, 2006, as Receiving No. 924843, in the Office of the Clerk of Lincoln County,
Wyoming, as Plat No. 217 -A.
PARCEL 2: Lots 42, 43, 44, 45, 46, 47 and 48 of RIVER BEND MEADOWS PHASE TWO, Lincoln
County, Wyoming, as shown on the official plat thereof filed November 7, 2007, as Receiving No.
934705, in the Office of the Clerk of Lincoln County, Wyoming, as Plat No. 934705
PARCEL 3 -A: Lot 3 of DEER RUN SECOND FILING, Lincoln County, Wyoming, as shown on the
official plat thereof filed July 7, 2004, as Receiving No. 900938, in the Office of the Clerk of Lincoln
County, Wyoming, as Plat No. 140-B.
PARCEL 3 -B: The right of ingress and egress as described in that certain Warranty Deed, dated
February 13, 2006, recorded February 16, 2006, in Book 612 P.R., on Page 445, as Receiving No.
916025, and re- recorded March 27, 2006, in Book 615 P.R., on Page 144, as Receiving No. 916920, all
in the records of the Clerks Office of Lincoln County, Wyoming.
for and in consideration of the sum of Ten Dollars and Other Valuable Consideration to him in
hand paid, the receipt of which is hereby acknowledged, has, and by these presents does waive
the priority of the lien of the said Mortgage insofar as the following described Mortgage is
concerned, but not otherwise:

of the records of Lincoln, Wyoming by RIVER BEND MEADOWS, LLC, a Wyoming limited
liability company, as Mortgagor, to 1 BANK, as Mortgagee, securing the payment of a note in
the amount of $2,016,458.74.

The undersigned Lender and Mortgagee, 1 BANK, hereby consenting that the lien of the
Mortgage first above described be taken as second and inferior to the Mortgage last above
described.
On the 21st day of January, 2010, personally appeared before me Penny Jones, who being by
me duly sworn did say that she is the Branch President of 1st Bank, a Corporation, and that she
executed the within instrument on behalf of said corporation by authority of a resolution of its
board of directors and duly acknowledged to me that said corporation executed the same.
