SUBORDINATION OF MORTAGE AGREEMENT
1 BANK, as present legal holder and owner of that certain Mortgage executed by RIVER
BEND MEADOWS, LLC, a Wyoming limited liability company, as Mortgagors to 1 BANK,
as Mortgagee, dated September 12, 2006 and recorded July 27, 2007 in Book 667 P.R., page 140,
Receiving No. 931651, of the records of Lincoln County, Wyoming and concerning the real
property in Lincoln County, Wyoming described as follows:
PARCEL 1 -A: The Property referred to in the Deed, recorded in Book 462 P.R., on Page 331 and a portion
referred to in the Deed, recorded in Book 277 P.R., Page 188, the Deed, recorded in Book 277 P.R., on Page 190,
being within the NE 1/4 of Section 10, Township 34 North, Range 119 West of the 6"' P.M., Northwest from Thayne,
Lincoln County, Wyoming the boundary and area being more particularly described as follows:
Beginning at an Iron Pipe marking the Northeast corner of said property in Book 462 P.R., on Page 331, said
Northeast corner being 1710.75 feet South 64° 29' 57" W from the B.L.M., type Monument found marking the
Charles V. King PE /LS 590 location for the Northeast Corner of said Section 10, thence South 01° 09' 59" W along
the East line of last said Property, 986.66 feet to the Southeast corner of last said property; thence North 8T 48' 59"
West along the South line of said property, 458.63 feet to the Southwest corner of last saidproperty; thence North
03° 29' 35" W along the West line of last said property, 793.45 feet to the Northwest corner of said property; thence
North 137.132 feet; thence East 283.13 feet, to the Point of Beginning.
PARCEL 1 -B: The right of ingress and egress as described in Quit Claim Deeds recorded in Book 462 P.R., Page
331 and Book 480 P.R., Page 737.
PARCEL 2 -A: Lot 3 of Deer Run, 2 Filing, Lincoln County, Wyoming, according to that plat filed July 7, 2004 in
the office of the Lincoln County Clerk, Plat No. 140 -B, Instrument No. 900938.
PARCEL 2 -B: The right of ingress and egress as described in that certain Warranty Deed, dated March 3, 2006,
recorded March 27, 2006 in Book 615 P.R., Page 144, records of Lincoln County, Wyoming.
PARCEL 3: The Northeast Quarter (NE1 /4) of Section 10, Township 34 North, Range 119 West of the 6 P.M.,
Lincoln County, Wyoming.
EXCEPTING THEREFROM Deer Run 2nd Filing, according to that plat filed July 7, 2004 in the Office of the
Lincoln County Clerk as Plat No. 140 -B, Instrument No. 900938.
ALSO EXCEPTING THEREFROM those parcels of land conveyed to R. MAX STEADMAN Jr., and DIANN S.
STEADMAN, recorded January 7, 2002, in Book 480 P.R. at Pages 737 and 738 as Instrument No. 878382, and to
SV 100 LLC, a Wyoming Limited Liability Company, recorded August 13, 2001, in Book 470 P.R. at Pages 473 and
474 as Instrument No. 875204.
for and in consideration of the sum of Ten Dollars and Other Valuable Consideration to him in
hand paid, the receipt of which is hereby acknowledged, has, and by these presents does waive
the priority of the lien of the said Mortgage insofar as the following described Mortgage is
concerned, but not otherwise:
That certain Mortgage dated July 5, 2006 and recorded August 9, 2006 in Book 629 P.R, page
544, Receiving No. 921089; and modified in that certain Modification of Mortgage dated June
28, 2007 and recorded July 5, 2007 in Book 664 P.R., page 503, Receiving No. 930944; and
further modified in that certain Modification of Mortgage dated January 21, 2010 and recorded
January 22 2010 in Book 740 P.R., page 717 Receiving No. 951762
in the records of Lincoln County, Wyoming by RIVER BEND MEADOWS, LLC, a Wyoming
limited liability company, as Mortgagor, to 1 BANK, as Mortgagee, securing the payment of a
note in the amount of $636,799.25.
The undersigned Lender and Mortgagee, 1 BANK, hereby consenting that the lien of the
Mortgage first above described be taken as second and inferior to the Mortgage last above
described.
