FOR VALUE RECEIVED, the undersigned hereby grants, assigns and
transfers to Deutsche Bank National Trust Company, as Trustee for J.P. Morgan
Mortgage Acquisition Trust 2007 -CH3, Asset Backed Pass Through Certificates,
Series 2007 -CH3, whose address is 10790 Rancho Bernardo Road, San Diego, CA
92127, all the rights, title and interest in and to that certain Real Estate Mortgage
dated December 26, 2006, executed by Ray Reed and Audrey Reed, to Chase Bank
USA, N.A. and recorded on February 1, 2007, at Reception No. 0926474 in Book
647 at Page 771 of the Official Records in the County Recorder's Office of Lincoln
County, State of Wyoming on real estate legally described as follows:
