CIT Capital USA Inc., as administrative agent and as lender "Assignor under that
certain Mortgage, Line of Credit Mortgage, Deed of Trust, Assignment of As- Extracted
Collateral, Security Agreement and Financing Statement, dated June 6, 2007 and recorded as
described on Annex I on June 18, 2007, as amended by that certain First Amendment to
Assignment of Mortgage, Line of Credit Mortgage, Deed of Trust, Assignment of As- Extracted
Collateral, Security Agreement and Financing Statement dated August 29, 2007 and recorded as
described on Annex I (hereinafter both described as the "Mortgage as amended and of the
Conveyance of Net Profits Interest dated as of June 6, 2007 and recorded on June 18, 2007 as
described on Annex 1 (hereinafter "Net Profits Interest all from Corkran Energy, LP, for and in
consideration of the sum of Ten and No /100 Dollars ($10.00) and other good and valuable
consideration to it paid by Franchise Portfolio 1, Inc., a Delaware corporation "Assignee the
receipt and sufficiency of which are hereby acknowledged, does hereby BARGAIN, SELL, SET
OVER, ASSIGN, CONVEY, TRANSFER AND DELIVER unto Assignee, its successors and
assigns, all its right title and interest in and to the Mortgage as amended and the Net Profits
Interest, which cover property described as follows:
SEE EXHIBIT A ATTACHED HERETO AND INCORPORATED HEREIN BY THIS
REFERENCE
TO HAVE AND TO HOLD the assigned Mortgage as amended and Net Profits Interest,
together with all and singular the rights and privileges thereto in anywise belonging unto
Assignee, its successors and assigns, forever.
The assignment was made without recourse or warranty of any kind, express or implied.
