IN CONSIDERATION of One Dollar ($1.00) and other good and valuable consideration, the receipt of which
is hereby acknowledged, the undersigned, JPMorgan Chase Bank, N.A., being the holder of a certain
mortgage deed recorded in Official Record as Document 939299, at Volume /Book/Reel 695, Image /Page 429,
Recorder's Office, Lincoln County, Wyoming, upon the following premises to wit:
SEE EXHIBIT ATTACHED AND MADE A PART THEREOF.
For itself, its successors and assigns, JPMorgan Chase Bank, N.A., does hereby waive the priority of its
mortgage referenced above, in favor of a certain mortgage to Welis Fargo Bank, N.A., its successors and
assigns, executed by Nicki J Heiner aka Nicki D Heiner Randall K Heiner, being dated the v't day of
20 (0 in an amount not to exceed $169,350.00 recorded in Official Record as
k `1-2, ''C-1 LI35 Recorder's Office, Lincoln County, Wyoming and upon the
premises above described. JPMorgan Chase Bank, N.A., mortgage shall be unconditionally subordinate to
the mortgage to Welis Fargo Bank, N.A., its successors and assigns, in the same manner and with like effect
as though the said later encumbrance had been executed and recorded prior to the filing for record of the
JPMorgan Chase Bank, N.A., mortgage, but without in any manner releasing or relinquishing the lien of said
earlier encumbrance upon said premises.

the NE 1/4 SW 1/4 of Section 35, T33N, R119W, of the 6th P.M., the metes and
bounds being more particularly described as follows:
Beginning at the Southeast corner of the Hepworth Property, as referred to in the
Deed recorded in Book 311PR on Page 364 with said Office, said point of beginning,
being 220.94 feet S 0 degrees 28' 58" West, along the West line of the SE 1/4 of said
Section 35, from the Paul N. Scherbel RLS 164, 1986 location for the Northwest
corner of said SE 1/4;
Thence S 0 degrees 28' 58" W, continuing along said West line, 193.33 feet;
