WHEREAS, Tri- Valley Distributing, Inc., a Utah corporation, did mortgage, grant, assign and convey to Assignor, the property described in that certain Mortgage dated May 18, 1998, and recorded May 27, 1998, as Receiving No. 850677, in Book 412 P.R. at Page 165, in the official records of Lincoln County, Wyoming (the "Mortgage to secure the payment of a note to Amoco Managers Acceptance Corp. in the principal sum of $1,100,750.00, together with interest (the "Note WHEREAS, by Certificate of Amendment to the Certificate of Incorporation of Amoco Managers Acceptance Corp. filed March 21, 2002, Amoco Managers Acceptance Corp. changed its name to Ultimate Finance Corp.; WHEREAS, by Certificate of Dissolution of Ultimate Finance Corp. filed December 6, 2004, Ultimate Finance Corp. was dissolved; WHEREAS, in connection with such dissolution, Ultimate Finance Corp. transferred all of its right, title and interest in certain of its assets, including the Mortgage and the Note, to BP Products North America Inc.; and WHEREAS, this Assignment is provided pursuant to the provisions of Delaware General Corporation Law permitting the winding up of business affairs on behalf of dissolved corporations, and for the purpose of winding up the business affairs of Ultimate Finance Corp.; NOW, THEREFORE, in consideration of the sum of Ten and 00 /100 Dollars ($10.00) paid to Assignor, the receipt and sufficiency of which is hereby acknowledged, Assignor hereby assigns unto Assignee the Mortgage and the Note, together with all moneys now owing or that may hereafter become due and owing in respect thereof, and the full benefit of all the powers and 00v799 799 of all the covenants and provisions therein contained; the Mortgage covers the following described property, situate in the County of Lincoln, State of Wyoming, to -wit: TO HAVE AND TO HOLD the Mortgage and the Note, and also the property, unto Assignee forever, subject to the terms contained in the Mortgage and the Note.
