MEMORANDUM OF CONVEYANCE, ASSIGNMENT, BILL OF SALE AND AGREEMENT
This Memorandum of Conveyance, Assignment, Bill of Sale and Agreement (this
"Memorandum is entered into effective July 1, 2010 "Effective Date by and among QEP
Energy Company, a Texas corporation and successor by name change to Questar Exploration
and Production Company, whose address is 1050 17 Street, Suite 500, Denver, Colorado
80265 -1050 "QEP" or "Grantor Wexpro Company, a Utah corporation, whose address is 180
East 100 South, P.O. Box 45601, Salt Lake City, Utah 81845 -0601 "Wexpro" or "Grantee and
Questar Gas Company, a Utah corporation, whose address (for purposes hereof) is 180 East 100
South, P.O. Box 45601, Salt Lake City, Utah 81845 -0601 "Questar Gas" or "ORRI Grantee
Each of QEP, Wexpro and Questar Gas is a "Party" and collectively they are the "Parties."
Capitalized terms used but not defined herein shall have the meanings given to them in the
Conveyance, Assignment, Bill of Sale and Agreement "Conveyance of even date herewith by
and among the Parties.
1. Notice is hereby given that the Parties have entered into the Conveyance, pursuant to
which, among other things: (a) Grantor transferred unto ORRI Grantee, its successors and
assigns, a proportionately- reduced overriding royalty interest in and to the Agreement
Properties except as to the Interests held by Wexpro; and (b) Grantor transferred unto
Grantee, its successors and assigns, all of Grantor's right, title and interest in and to the
Interests reserving unto Grantor a proportionately- reduced overriding royalty interest as to
certain interests conveyed to Wexpro pursuant to certain Wexpro Agreement Guideline
Letters. The Agreement Properties are set forth on Exhibit "A" (attached hereto and made
a part hereof). The Interests include and consist of (i) those properties set forth on Exhibit
"B" (attached hereto and made a part hereof), (ii) those wells described in Section 1 of the
Conveyance, and (iii) additional rights and interests transferred by and described in certain
Wexpro Agreement Guideline Letters, as further described in the Conveyance.
2. The Conveyance has been made subject to, among other things, the following:
(a) The terms of the Wexpro Agreement;
(b) The terms of the Wexpro Agreement Guideline Letters and future guideline letters
executed by both Grantor and Grantee; and
(c) The terms of all contracts, agreements and other documents by which the Agreement
Properties and the Interests are bound or to which they are subject, including, but not
limited to, gas measurement allocations for the Pinedale Field wells, operating
agreements, farmout agreements, communitization agreements, unit agreements and
pooling agreements.
3. This Memorandum is not a complete summary of the Conveyance. The provisions of this
Memorandum are subject in all respects to the provisions of the Conveyance. Reference
must be made to the Conveyance in connection with any matters affecting this
Memorandum. If there is any conflict between the provisions of this Memorandum and the
provisions of the Conveyance, the provisions of the Conveyance will control, it being the

intent of the Parties that this Memorandum will not alter or vary the terms of the agreement
between the Parties as set out in the Conveyance. Copies of the Conveyance and /or the
items referenced in Section 2 of this Memorandum can be obtained from the Grantor or
Grantee through written request (providing a reasonable description of the item so
requested) to the address provided above for each such Party.
4. If either Party assigns (or otherwise transfers) its interests in the Agreement Properties or
the Interests, then such transferring Party will provide a copy of the Conveyance to the
transferee upon such transferee's request.
5. All covenants, restrictions, conditions, easements and agreements contained in the
Conveyance (a) are covenants running with the Agreement Properties and the Interests and
the lands covered thereby and (b) shall inure to the benefit of and bind each of the Parties,
their successors and assigns.
6. This Memorandum is being executed in multiple counterparts, all of which are identical;
provided that, to facilitate recordation, there may be omitted from the Exhibits of the
counterparts the descriptions of properties located in recording jurisdictions other than the
jurisdiction in which the particular counterpart is recorded. An executed counterpart of
this Conveyance containing the full text of the entire Exhibits is recorded in the real
property records of Sweetwater County, Wyoming. Each of such counterparts shall for
all purposes be deemed to be an original, and all of such counterparts shall together
constitute but one and the same instrument.
