COUNTY OF LINCOLN Agreement made this I day of March, 2010, between LARSON HEREFORD RANCH, a limited partnership and the CATHERINE N. LARSON TRUST, all of 498 Larson Lane, P.O. Box 813, Kemmerer, WY 83101, hereinafter referred to as Grantor, and RUBY PIPELINE, L.L.C., a Limited Liability Company organized under the laws of the State of Delaware and registered to do business in Wyoming, doing business at Ruby Pipeline, L.L.C., Attn: Land Department, 2 North Nevada, Colorado Springs, CO 80903, hereinafter referred to as Grantee. SECTION ONE RIGHT OF WAY In consideration of the sum of TEN DOLLARS AND OTHER GOOD AND VALUABLE CONSIDERATION, the receipt of which is hereby acknowledged, Grantor hereby grants, sells, and conveys to Grantee, its successors and assigns, a right of way for the purposes of laying, constructing, operating, inspecting, maintaining, protecting, replacing and repairing a pipeline forty two (42 inches in diameter for the transportation of oil, natural gas, petroleum products, and gases, or mixtures of any of the foregoing together with the right of ingress and egress along the defined right -of -way, at a location and on a route to be selected by Grantee and approved by Grantor, on, in, over, and through the said land on a right of way not to exceed 50 feet in width with said 50 feet in width being 25 feet on the East side and 25 feet on the West side of the centerline of the pipeline constructed on the following- described land in Lincoln County, State of Wyoming as described below: A strip of land, in four (4) parts, 50.00 feet in width, situated in the West half of Section 1, Township 20 North, Range 115 West and Sections 27, 28 and 33, Township 21 North, Range 114 West, 6 Principal Meridian, Lincoln County, Wyoming, the centerline thereof being more particularly described as follows: Township 21 North, Range 114 West, 6 P.M. Section 27: NW1 /4 Section 28: SE1 /4 Section 33: All Township 20 North, Range 115 West, 6 P.M. Easement \Larson \Ruby Pipeline\LARSON ROW March 1.FINAL Page 1 of 9 The total length of pipeline right -of -way across Arnold A. Larson lands, as described above is 12,918.31 feet or 782.93 rods. SECTION TWO INGRESS AND EGRESS SECTION THREE CERTIFIED PLAT 300382 Such land is referred to herein as the premises and the right of way across those premises is referred to herein as the "right of way." The portion of the right of way located between the Roberson Ditch (stationing 27 +57) and the South Side Ditch (stationing 74 +56), as described more fully on Exhibit "B" which is incorporated herein by this reference, shall hereinafter be referred to as the "Meadow." Grantee shall only have the use of existing roads designated as LW -1B and LW -4 as described on Exhibit `B" which is incorporated herein by reference. All other activities of Grantee on the premises, including but not limited to ingress and egress, shall be limited solely to the pipeline right of way. During the term of the construction agreement and while completing the required restoration, Grantee shall also have use of the expanded work space. Use of the expanded work space by Grantee shall terminate upon construction and restoration being completed as described in the construction agreement entered into in conjunction with this Right of -Way and Easement. Within one (1) year of the completion of construction, Grantee shall furnish Grantor, a certified plat that is completed by a registered Wyoming land surveyor which shall detail the exact location of the pipeline as built and its location within the right of way. All rights and privileges granted herein shall terminate if Grantee fails to complete initial construction of the portions of said pipeline lying within the right of way by December 31, 2011or if Grantee fails to maintain and operate said pipeline by transporting product therein for a period of more than twenty -four (24) consecutive months for the purposes herein referenced. Grantee may at any time permanently abandon said right -of -way upon receipt and acceptance of any necessary approvals. Upon such abandonment, Grantee shall execute and record a reconveyance and release hereof, whereupon this right -of -way and easement and all rights and privileges herein mutually granted shall be fully canceled and terminated except those set forth in Sections Sixteen and Seventeen below. On the termination of the rights granted herein, whether as set forth under this section or otherwise, Grantee shall execute and deliver to Grantor, within forty five (45) days after service of a written demand therefor, a good and sufficient quitclaim deed to all rights hereby granted. Easement \Larson\Ruby Pipeline\LARSON ROW March 1.FINAL SECTION FOUR TERM OF RIGHT OF WAY AND RECONVEYANCE Page 2 of 9 Should Grantee fail or refuse to deliver such deed to Grantor, a written notice by Grantor reciting the failure or refusal of Grantee to execute and deliver such deed, and terminating this grant, shall, after thirty (30) days from the date of recording of such notice, be conclusive evidence against Grantee and all persons claiming under Grantee of the termination of this grant. SECTION FIVE DRIPS, VALVES AND SURFACE INSTALLATIONS Grantee agrees that no drips or valves shall be placed on any pipeline where that pipeline passes through the premises. Grantee shall have no right to locate any surface installation on any part of the pipeline right of way, or to fence the whole or any part thereof, except Grantee shall be allowed to install pipeline location markers and cathodic protection equipment, provided that Grantee shall not be allowed to place pipeline location markers or cathodic protection equipment in any area used for the production of hay or the Meadow as defined above, except the pipeline location may be marked in the Meadow where it crosses beneath fences and at the railroad crossing as required by the Department of Transportation. SECTION SIX NO ADDITIONAL PIPELINES, TELEPHONE LINES, OR OPTIC FIBER CABLES e oot3sa Grantee shall have the right to place only one (1) pipeline that is not larger than forty -two (42 inches in diameter within the pipeline right of way. Grantee shall not have the right to change the size or install any additional or larger pipelines, telephone lines, optic fibers or any other item except the cathodic protection for the pipeline identified herein within the right of way. Grantee shall notify Grantor by telephone at the number provided below, or by mail at address provided below not less than ten (10) days before entering the premises of right of way for purposes of conducting activities that will result in substantial disturbance of the ground. Grantee shall compensate Grantor for any future surface damage caused by Grantee when conducting such activities and shall make all repairs in the surface after such activities. Failure of Grantee to make such notification shall be deemed a trespass except in case of an emergency at which time Grantee shall notify Grantor, as set forth above, of such entry as soon as practicable. Such notice shall be given to Grantor at 307 877 -6151, in person to Arnold N. Larson or via certified mail, return receipt requested at P.O. Box 813, Kemmerer, WY 83101. Grantor may update this contact information by way of written notice to Grantee at Ruby Pipeline, L.L.C., Attn: Land Department, P.O. Box 1087, Colorado Springs, CO 80944. Should Grantor assign this Right of Way and Easement, any successors or assigns shall notify Grantee of current contact information. Absent such notification, Grantee will have no obligation to make any notifications under this section. Easement\Larson \Ruby Pipeline\LARSON ROW March 1.FINAL SECTION SEVEN PATROL OF PIPELINE FOR MAINTENANCE Page 3 of 9 SECTION EIGHT REMOVAL OF PIPELINE SECTION NINE GRANTOR'S RIGHT TO USE SURFACE SECTION TEN GENERAL DEPTH OF BURIAL OF PIPELINE ,003 84 Upon the termination of this right of way or upon the abandonment of the pipeline placed therein, Grantee shall remove said pipe unless there are specific regulations put in place by a regulatory agency that requires it remain in place without any other alternative. Upon Grantee removing said pipe, Grantee shall be responsible for damages to Grantor's property. Grantor reserves the right to fence the whole of any part of the boundaries of the pipeline right of way, and the right to build fences crossing such right of way. Grantor further reserves and shall have the right to fully use and enjoy the premises and the boundaries of the pipeline right of way for his ranching operation and any other reasonable use thereon including roads except for such use as may unreasonably interfere with the exercise by Grantee of the rights granted herein. Grantor shall not construct or permit to be constructed any reservoir, excavation, change in surface grade, structure, or obstruction on, over, along or within said right of way without Grantee's prior written consent. Grantor shall comply with all existing Wyoming State Laws prior to any excavation or digging within the right of way granted herein. In the Meadow, Grantee shall bury the top of the pipe at a minimum depth of forty eight (48) inches below the lowest point of the original ground on the two sides of the ditch in which the pipeline is laid and a minimum depth of forty eight (48) inches below the lowest point of the original ground where any pipeline is installed by boring as it is agreed that Grantor is intending to and shall be allowed to use the surface area of the right of way for continuation of his ranching operations and any other reasonable use thereon. In the remainder of the right of way, except as otherwise described herein, Grantee shall bury the top of the pipe at a minimum depth of forty (40) inches below the lowest point of the original ground on the two sides of the ditch in which the pipeline is laid as it is agreed that Grantor is intending to and shall be allowed to use the surface area of the right of way for continuation of his ranching operations and any other reasonable use thereon. Fasement\Larson \Ruby Pipeline\LARSON ROW March 1.FINAL SECTION ELEVEN DEPTH OF BURIAL OF PIPELINE UNDER DITCHES Grantee shall bury the top of the pipe at a minimum depth of sixty (60) inches below grade of the lowest point of the ditches or irrigation canals that the pipeline crosses that are identified as the Roberson Ditch (stationing 27 +57) and the South Side Ditch (stationing 74 +56). Such depth shall be maintained for at least ten (10) feet on each side of the ditch or irrigation canal bank. Page 4 of 9 SECTION TWELVE DEPTH OF BURIAL OF PIPELINE UNDER ROADS Under the road crossing shown at station 24 +27 on Exhibit `B Grantee shall bury the top of the pipe at a minimum depth of sixty (60) inches below grade of the road. Such depth shall be maintained for at least ten (10) feet on each side of the road. Grantee shall attempt to initially install the pipeline under the river by using a boring method. If reasonable efforts to bore fail, Grantee, after consulting with Grantor and advising Grantor of the efforts taken and the necessity, may cut a trench across the Hainsfork River. Whether boring or cutting a trench, Grantee shall assure the top of the pipe is a minimum depth of six (6) feet below grade of the lowest point of any river or creek that the pipeline crosses. Such depth shall be maintained for at least fifteen (15) feet on each side of the river or creek bank. Easement\Larson\Ruby Pipeline \LARSON ROW March 1.FINAL SECTION THIRTEEN DEPTH OF BURIAL OF PIPELINE UNDER RIVERS SECTION FOURTEEN PROTECTION AND MAINTENANCE OF FENCES Grantee shall have the right to cross fences on the premises whenever such crossing shall be necessary when laying, constructing, operating, inspecting, maintaining, protecting, replacing and repairing its pipeline or pipelines on the premises; however, Grantee shall maintain a proper enclosure at all times and restore such fences to their condition prior to crossing immediately as Grantor shall be entitled to use the premises for grazing livestock during construction. Grantee shall hold harmless and indemnify Grantor for any and all livestock loss that is incurred by Grantor at any time that Grantee is accessing said easement, whether it be for construction, restoration, maintenance or emergency repairs when such loss is due to the failure of an enclosure of fence that Grantee is using or used for such access. If a loss occurs, Grantor shall notify Grantee as soon as practicable and shall not dispose of any livestock, if Grantor can control such disposal, until Grantee has been notified and has an opportunity to review said loss. SECTION FIFTEEN LIABILITY FOR DAMAGES TO CROPS IMPROVEMENTS Grantee agrees to pay Grantor for all damages suffered by Grantor as a result of the exercise by Grantee of rights granted herein, included but not limited to reasonable damages to growing crops, fences, or improvements on the premises caused by laying, maintaining, and operating the pipeline hereunder. SECTION SIXTEEN HAZARDOUS WASTES In the event that there are hazardous wastes within or escaping from the easement area or the facilities arising out of Grantee's construction, operation and maintenance or abandonment of Page 5 of 9 G60385 the facilities, Grantee will indemnify, defend and hold harmless Grantor from and against any and all costs and liability there from, including but not limited to any legal defense costs associated with any legal or administrative proceedings concerning any related allegations, costs arising from the clean -up and remediation, whether that remediation occurs by Grantee, with or without a governmental agency decision or court order. This paragraph shall survive the abandonment, release and termination of the agreement. SECTION SEVENTEEN INDEMNIFICATION OF GRANTOR Grantee shall indemnify, defend and hold harmless Grantor from and against any and all loss, damage or injury which results from the construction, abandonment, operation and maintenance of the pipeline and all facilities appurtenant thereto; provided however, that said loss, damage or injury does not arise out of or result from the negligence or willful misconduct of the Grantor, his agents or employees. Indemnification shall include, but is not limited to attorney's fees, costs and expenses incurred by Grantor or its heirs and assigns and Grantor reserves the right to select its attorney to represent it in any action to defend itself. This paragraph shall survive the abandonment, release and termination of the agreement. The Parties have entered into a Construction Agreement to govern Grantee's activities during the initial construction of its facilities pursuant to this Agreement. Except for the Construction Agreement, this is the entire agreement of the parties. This agreement is not an amendment to or of any prior easement and is independent of any and all other easement.
