HomeMy WebLinkAbout955648STATE OF WYOMING COUNTY OF LINCOLN RECEIVED 9/22/2010 at 3:50 PM RECEIVING 955648 BOOK: 754 PAGE: 158 JEANNE WAGNER LINCOLN COUNTY CLERK, KEMMERER, WY ASSIGNMENT OF OVERRIDING ROYALTY INTEREST 006158 KNOW ALL MEN BY THESE PRESENTS, that for and in consideration of the sum of Ten and No /100 Dollars ($10.00), cash in hand paid, and other good and valuable consideration, the receipt and adequacy of which are hereby acknowledged and for which full acquittance and discharge is hereby granted, MRC ROCKIES COMPANY, whose mailing address is One Lincoln Centre, 5400 LBJ Freeway, Suite 1500, Dallas, Texas 75240 "Assignor does hereby grant, sell, transfer, assign, convey and deliver unto ROXANNA ROCKY MOUNTAINS, LLC, whose mailing address is 952 Echo Lane, Suite 364, Houston, Texas 77024 "Assignee an overriding royalty interest of Two and One -half Percent of Eight- Eighths (2.5% of 8 /8ths) (the "Overriding Royalty Interest in and to all of the oil, gas and associated hydrocarbons produced, saved and sold from and attributable to the oil, gas and mineral leases (collectively the "Leases" and individually a "Lease described in Exhibit "A" attached and made a part hereof, any and all renewals and extensions thereof and any oil, gas and mineral lease covering lands or mineral interests within the area of mutual interest (the "AMP') established by that certain Participation Agreement dated as of May 14, 2010 (the "Participation Agreement by and among Roxanna Oil, Inc., Roxanna Rocky Mountains, LLC, MRC Rockies Company, Matador Resources Company, Matador Production Company, Alliance Capital Real Estate, Inc. and AllianceBernstein L.P., acquired by a Party during the term of the AMI, subject to proportionate reduction as provided below. TO HAVE AND TO HOLD the Overriding Royalty Interest unto Assignee, its successors and assigns, subject, however, to the terms and provisions contained herein. 1. Non- Operating Interest. The Overriding Royalty Interest is a non- operating interest in and to the Leases and in no event shall Assignee ever be liable or responsible in any way for payment of any costs, expenses or liabilities attributable to the Leases, but Assignee shall bear and pay all severance, production or similar taxes chargeable against or payable in respect of the Overriding Royalty Interest. 2. Payment. The Overriding Royalty Interest shall be computed and paid at the same time and in the same manner as royalties are computed and paid to the lessors under the terms of the Leases. 3. Pooling and Unitization. Assignor shall have the right and power, without further approval by Assignee, to pool or unitize any of the Leases and to alter, change or amend or terminate any pooling or unitization agreements heretofore or hereafter entered into, as to all or any part of the lands covered by the Leases, as to any one or more of the formations or horizons thereunder, upon such terms and provisions as Assignor shall in its sole discretion determine. If and whenever through the exercise of such right and power, or pursuant to any law now existing or hereafter enacted, or any rule, regulation or order of any governmental body now existing or hereafter promulgated, any of the Leases are pooled or unitized in any manner, the Overriding Royalty Interest shall also be pooled and unitized, and in such event Assignee shall be entitled to receive the Overriding Royalty Interest which accrues to the Leases under and by virtue of the pooling and unitization. 4. Release of Leases. Assignor shall have the right at any time in its sole discretion, without further approval by Assignee, to surrender, abandon or terminate any of the Leases in whole or in part without liability to Assignee, and in case of such surrender, abandonment or termination, Assignor may release the surrendered, abandoned or terminated Lease directly to the lessor thereof. eo C14159 5. Lease Maintenance. Nothing herein shall obligate Assignor to conduct, or consent to the conducting of, any drilling operations whatsoever upon the Leases, or to continue to operate any well or to operate or maintain in force or attempt to maintain in force any of the Leases, or to maintain the Leases in effect by payment of delay rentals or otherwise, and the extent and duration of all operations, as well as the preservation of each of the Leases by delay rental payments or otherwise, shall be at the sole discretion of Assignor. 6. Proportionate Reduction. In the event any Lease covers less than the full fee estate in the lands subject to the Lease, the Overriding Royalty Interest in such Lease shall be reduced in the proportion that the undivided fee interest covered by the Lease bears to the full fee estate. In the event that Assignor's interest in any of the Leases is less than the full leasehold working interest in such Lease, the Overriding Royalty Interest attributable to such Lease shall be reduced in the proportion that Assignor's interest in such Lease bears to the entire leasehold working interest. In the event of a loss or failure in title to any of Assignor's interests in any of the Leases, the Overriding Royalty Interest attributable to any such Lease shall be reduced in the same proportion that the interest of Assignor in production from said Lease is reduced. 7. Assignment. Assignor shall have the right to assign, sell, transfer, convey, mortgage or pledge its interest in the Leases, or any part thereof, subject to the Overriding Royalty Interest and the provisions of this assignment. 8. Title Warranty and Substitution. This assignment is made and accepted without warranty of title, express or implied or statutory, which is expressly disclaimed, except as to all parties claiming by, through and under Assignor, but not otherwise, but is made with full substitution and subrogation in and to all of Assignor's rights and actions of warranty. 9. Gracie Prospect Agreement. This is assignment is given and made subject to the terms and provisions of that certain unrecorded Amended and Restated Gracie Prospect Agreement dated May 14, 2010, by and among Matador Resources Company, MRC Rockies Company, Roxanna Oil, Inc. and Roxanna Rocky Mountains, LLC. 10. Statute of Frauds. Assignor and Assignee agree and stipulate that the descriptions of the Leases herein shall be sufficient for all purposes including the Statute of Frauds. 11. Governing Law. This assignment shall be governed by and construed in accordance with the laws of the State of Texas. 12. Counterpart Execution. This instrument may be executed in any number of counterparts, each of which, when so executed and delivered, shall be an original, and all of which counterparts together shall constitute one and the same fully executed instrument.
