THIS FIRST AMENDMENT AND SUPPLEMENT TO REAL ESTATE MORTGAGE
AND SECURITY AGREEMENT (this "First Amendment is made as of April 5, 2001, between
ALL WEST COMMUNICATIONS, INC. "Borrower and COBANK, ACB "Lender
WHEREAS, Borrower and Lender entered into that certain Master Loan Agreement, dated
as of September 5, 2000 (the "MLA that certain Promissory Note and Revolving Term Loan
Supplement, dated as of September 5, 2000 (the "First Supplement providing for a loan of up to
$17,000,000, and that certain Promissory Note and Committed Revolving Credit Supplement, dated
as of September 5, 2000 (the "Second Supplement"), providing for a loan of up to $5,000,000, each
as amended by that certain First Agreement Regarding Amendments to Loan Documents, dated as
of April 4, 2001; and
WHEREAS, as an inducement to Lender to enter into the MLA, the First Supplement and
the Second Supplement and to make the loans provided for therein, Borrower granted to Lender a
first priority lien in and to the "Mortgaged Property" described in that certain Real Estate Mortgage
and Security Agreement, dated as of September 5, 2000 (the "Mortgage and
WHEREAS, Borrower and Lender are entering into that certain Promissory Note and Single
Advance Term Loan Supplement (Acquisition), dated as of even date herewith (the "Third
Supplement' and with the MLA, the First Supplement and the Second Supplement, collectively, the
"Loan Agreement"), providing for a loan of up to $4,800,000;
WHEREAS, as an inducement to Lender to enter into the Third Supplement and to make
the loan provided for therein, Lender has agreed to amend the Mortgage as herein provided;
NOW, THEREFORE, for and in consideration of the premises, and further in consideration
of Three Dollars ($3.00) cash in hand paid and of other valuable consideration, receipt of which is
hereby acknowledged, and in order to secure full and prompt payment when due and performance
of the, Obligations (as defined in the Mortgage, as amended by this First Amendment), Borrower has
and does by these presents grant, bargain, sell, convey, deliver, Mortgage, pledge and hypothecate
to the Lender, its successors and assigns forever, the following described property (collectively, the
"Mortgaged Property (i) all those certain parcels of land situated, lying and being in Lincoln and
Unitah Counties, Wyoming, including, without limitation, those parcels more particularly described
in Exhibit "A" hereto, all buildings, structures and improvements now or hereafter situated thereon,
and all fixtures, rights, privileges and easements thereunto belonging; (ii) all other real property of
every kind, nature and description, and wheresoever located, now owned or hereafter acquired by

herewith, all of the terms and conditions of the Mortgage shall remain in full force and effect and
are hereby ratified and confirmed by Borrower.
SECTION 9. Counterparts. This First Amendment may be executed in any number
of counterparts and by the different parties hereto in separate counterparts, each of which when
executed shall be deemed to be an original and shall be binding upon all parties and their respective
permitted successors and assigns, and all of which taken together shall constitute one and the same
agreement.
SECTION 10. Governing Law. This First Amendment shall be governed by and
construed in accordance with the laws of the State of Wyoming, without reference to choice of law
doctrine.
