(BLM) or in the files of the applicable State Land Board, as described in Exhibit A. To the
extent that any land descriptions on Exhibit A are incorrect or not legally sufficient, the land
descriptions contained in the documents so recorded or on file with the BLM or State are
incorporated by this reference. Unless provided otherwise, all recording references in
Exhibit A hereto are to the official real property, oil and gas lease records or conveyance
records of the county and state in which the lease is situated and all BLM lease serial number
references are to the records of the applicable State Office of the BLM administering the state
in which the lease is situated. Reference is also made to the Net Revenue Interests "NRI
as shown on Exhibit A. The amount reflected in such column constitutes the interest owned
by Assignor in each Lease conveyed hereby, as reflected in the records of Assignor.
However, to the extent that such amount is incorrect, it is the intent of Assignor to convey all
of her interest in each referenced Lease, whether more or less than is stated on Exhibit A.
3. THIS ASSIGNMENT SHALL BE GOVERNED BY, AND CONSTRUED
AND ENFORCED IN ACCORDANCE WITH THE INTERNAL LAWS, AND NOT THE
LAWS PERTAINING TO CHOICE OR CONFLICT OF LAWS, OF THE STATE OF
COLORADO, EXCEPT AS TO MATTERS OF TITLE AND CONVEYANCING, WHICH
SHALL BE GOVERNED BY THE LAWS OF THE STATE WHERE THE LEASE IS
LOCATED.
4. Assignor agrees to execute such transfer orders and other documents as may
be necessary to vest in Assignee all rights to receive and enjoy the interests herein assigned.
5. Assignee hereby certifies that Assignee is an association (i.e. a trust), the
trustee and all of the beneficiaries of which are citizens of the United States, and that the trust
is fully qualified to hold interests in federal oil and gas leases in conformance with the
requirements of 43 CFR 3102.1.
6. Separate assignments of the Interests may be executed on officially approved
forms by Assignor to Assignee, in sufficient counterparts to satisfy applicable statutory and
regulatory requirements. The interests conveyed by such separate assignments are the same,
and not in addition to, the interests conveyed herein.
7. This Assignment may be executed in any number of counterparts, and each
counterpart hereof shall be deemed to be an original instrument, but all such counterparts
shall constitute but one assignment. To facilitate recording and filing with the BLM, a
counterpart to be recorded in a given county or to be filed with the BLM may contain only
those portions of the Exhibits hereto that describe property located in that county or that
pertain to a specific lease. Assignor and Assignee have each retained a counterpart of this
assignment with a complete copy of Exhibit A.
