KNOW ALL MEN BY THESE PRESENTS:
THAT, BASELINE MINERALS, INC., at 1645 COURT PLACE, SUITE 422, DENVER, CO
80202, hereinafter referred to as Assignor, in consideration of the sum of Ten and no /100 Dollars
($10.00), cash in hand paid, and other valuable consideration, the receipt and adequacy of which is
acknowledged, does hereby ASSIGN, TRANSFER, SET OVER and DELIVER unto CONDOR
EXPLORATION, LLC, at 7538 SOUTH SALIDA COURT, AURORA, CO 80016, hereinafter referred
to as Assignee, all of Assignor's right, title and interest in and to those certain Oil and Gas Leases located
in Lincoln County, Wyoming, more particularly identified and described as follows:
ASSIGNOR reserves to itself, its successor and assigns, an overriding royalty interest of an
undivided 0.5000% of all the oil, gas, gas condensate, casinghead gas, and other liquid and gaseous
hydrocarbons produced and saved from the assigned interest in said leases during the terms thereof,
including any extensions or renewals of said leases, which part of such oil, gas, gas condensate,
casinghead gas and other liquid and gaseous hydrocarbons produced and saved shall be, at the option of
Assignor, either delivered to Assignor in kind or the market value thereof paid to Assignor. As to
production sold by Assignee, market value for the interest in production owned by Assignor shall be the
price realized by Assignee for its portion of the production sold in an arm's length competitively
negotiated contract of sale, including Assignor's part of the net realization for plant products, when and if
gas production is processed. The overriding royalty interest reserved by Assignor shall be free and clear
of all costs of exploring, drilling for, producing, separating, treating, and marketing such oil, gas, gas
condensate, casinghead gas and other liquid and gaseous hydrocarbons, but shall bear its proportionate
part of all taxes and assessments levied upon or against or measured by such production. Assignor
represents and warrants that there are no current burdens on said leases except those reflected. The
interest in production reserved as an overriding royalty is on the basis of said leases covering a full
mineral interest and Assignor holding all leasehold rights therein. In the event that any of said leases or
Assignor's interest therein does not cover a full mineral interest, the interest in production reserved herein
as an overriding royalty shall be proportionately reduced.
THIS Assignment is made without warranty or recourse of any kind, expressed or implied, and is
made subject to all existing royalties, overriding royalties and any other lease burdens, which shall be
borne by Assignee to the extent of the interest herein assigned.
