KNOW ALL MEN BY THESE PRESENTS: That the u,n, dersigned, CONTEX ENERGY COMPANY, ~f 1645 Court
Place, Suite 212, Denver, CO 80202, hereinafter called "AssignOr for and in consideration of the sum of Ten Do lard ($10.00)
and other valuable consideration to it paid by EOG RESOURCES, INC. ofP. O. Box 4362, Houston, TX 77~I]10-4362, the
receipt and sufficiency of which is hereby acknowledged, and subject to the conditions hereinafl,,er stated, ,,does heleby bargain,
sell, transfer, assign and convey unto the said EOG RESOURCES, INC., hereinafter called Assignee , its successors and
assigns, the following Oil and Gas Lease, and all rights thereunder or incident thereto, and personal property thereon or used
or obtained in connection therewith which said lease covers the lands identified and described therein situate d in Lincoln
County, WYoming, to wit:
Lessor: William J. McGinnis, III, a married man dealing in his sole and separate px operty
Lessee: Contex Energy Company

Covering: TOWNSHIP 26 NORTH, RANGE 113 WEST
Section 27: Metes & Bounds description covering Lots 46 and 47
Containing 429.00 acres more or less
Reference is hereby made to said lease, and the recording thereof hi Lincoln County, Wyoming, for furtl~er description
and all other lawful purposes.
TO HAVE AND TO HOLD, the leasehold estates, interests, rights, and property hereby assigned and c~onveyed unto
the said Assignee herein, its successors and assigns, subject to and in accordance with the terms, provisions, andiconditions of
said lease, and Assignee by acceptance hereof, agrees to comply with and hereby assumes all of the expresg and implied
covenants and obligations of the original lessee under said lease
And for the consideration aforesaid, the Assignor for itself and its successors and assigns, does coveIiant with said
Asisignee, its successors and assigns, that Assignor is the lawful owner of said leasehold estate and property he:'ein assigned,
and that Assignor has good right and authority to sell and convey same, that said rights, interests and property are free and clear
fi'om all liens and encumbrances, and that Assignor, its successors and assigns, will warrant and defend the san ~e against the
lawful claims and demands of all persons whomsoever claiming or to claim the same or any part thereof, by, thn ~ugh or under
Assignor, but not otherwise.
