To MOUNTAIN GAS RESOURCES LLC STATE OF WYOMING COUNTY OF SUBLETTE KNOW ALL BY THESE PRESENTS: 0 0 0 2 3 a RECEIVED 8/15/2011 at 2:57 PM RECEIVING 960570 BOOK: 771 PAGE: 233 JEANNE WAGNER LINCOLN COUNTY CLERK, KEMMERER, WY THAT RENDEZVOUS GAS SERVICES, L.L.C., a Wyoming limited liability company with its principal offices at 1050 17 Street, Suite 500, Denver, CO 80265, hereinafter called "Grantor," for Ten Dollars ($10.00) and other valuable consideration in hand paid to Grantor, the receipt and sufficiency of which are hereby acknowledged, does hereby BARGAIN, ASSIGN, SELL AND CONVEY unto MOUNTAIN GAS RESOURCES LLC, a Delaware limited liability company with its principal offices at 1099 18th Street, Suite 1800, Denver, CO 80202, hereinafter called "Grantee," all of Grantor's right, title and interest in the following described segments of a natural gas gathering pipeline, equipment including metering equipment, manufacturers' warranties, rights -of -way, easements, permits, licenses and related facilities (the "Assets more particularly described as follows: All right, title and interest of Grantor in and to four segments of 12 -inch buried pipeline, equipment including metering equipment, manufacturers' warranties, rights -of -way, easements, permits, licenses and related facilities more particularly described as (1) beginning at the Jonah compressor station and extending in a northeasterly direction to the point at which such pipeline connects to the Stud Horse Butte well number 13 -23, and (2) beginning at the point at which the pipeline connects with the Stud Horse Butte well number 15 -23 and extending in a northeasterly direction to the point at which such pipeline connects to the Stud Horse Butte well number 15 -14, said pipeline segments (1) and (2) being shown on the attached drawing entitled Exhibit "A (3) beginning at the Stud Horse Butte well number 15 -14 and extending in a northeasterly direction to the point at which such pipeline intersects the Sand Draw well number 7 -11 and Sand Draw well number 11 -12 pipelines, said pipeline segment (3) being shown on the attached drawing entitled Exhibit "B Segment (4) beginning at the intersection of the Sand Draw well number 7 -11 and Sand Draw well number 11 -12 pipelines extending in a northerly direction to the point at which such pipeline terminates at the War Bonnet well number 9 -23, said pipeline segment (3) being shown on the attached drawing entitled Exhibit "C All segments are located in Sublette County, Wyoming, said pipelines being shown on the attached drawings entitled Exhibit "A Exhibit "B" and Exhibit "C copies of which are attached hereto as Exhibit "A Exhibit "B" and Exhibit "C" and made a part hereof. Right -of -Way area for said pipeline segments is described in Exhibit "D" attached hereto and made a part hereof. Grantee represents that it has inspected said facilities, that it has the expertise to properly evaluate said facilities and is satisfied with their present condition and accepts them in their present condition and location, "as is, where is." Grantor, for itself and its successors and assigns, shall warrant and forever defend Grantee's title to the Assets against every person or entity whomever claiming the Assets or any part thereof, by, through or under Grantor, but not otherwise. Grantor represents and warrants that: (1) Grantor has not assigned, transferred or conveyed the Assets to any other person or entity, (2) Grantor has not created any liens or encumbrances with respect to the Assets, (3) Grantor has the right to assign, transfer and convey the Assets to Grantee and (4) the Assets are free and clear of all liens and encumbrances. Grantor is assigning, transferring and conveying the Assets to Grantee AS IS, WHERE IS, AND WITHOUT ANY REPRESENTATION OR WARRANTY, EITHER .EXPRESS OR IMPLIED OR IN LAW, AS TO THE PHYSICAL CONDITION OF THE ASSETS, INCLUDING BUT NOT LIMITED TO, REPRESENTATIONS OR WARRANTIES REGARDING MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE OR USE. The parties agree that after the execution hereof, they will execute and deliver to each other such additional documents, deeds, assignments, governmental applications or forms and other instruments as may be necessary to complete the transfer and exchange of the Assets to Grantee and to fulfill the terms, conditions and obligations of this Assignment, Bill of Sale and Conveyance. The terms and provisions hereof shall extend to and be binding upon the parties hereto and their respective successors and assigns. IN WITNESS WHEREOF, Grantor and Grantee have caused this Assignment, Bill of Sale and Conveyance to be executed on the date shown below, to be effective as of 5:00 o'clock p.m. Mountain Time on the 1 day of December, 2009 (the "Effective Date in duplicate originals, each of which originals shall constitute but one and the same assignment, bill of sale and conveyance.
