LINCOLN COUNTY, WYOMING
Cascade Royalty Fund, LP, a Texas Limited Partnership, whose address is P.O. Box 7849,
Dallas, Texas 75209 (herein called "Grantor»), for ten dollars and other good and valuable consideration,
the receipt and sufficiency of which is hereby acknowledged, does hereby GRANT, BARGAIN, SELL,
CONVEY, ASSIGN, TRANSFER, SET OVER, and DELIVER unto Adobe Acquisition, LLC., a Texas
Limited Liability Corporation, whose address is 1000 Ballpark Way, Suite 216, Arlington, Texas 76011
(herein called "Grantee the following described properties, rights, and interests (the "Subject
Properties
(a) All of Grantor's right, title, and interests in and to the mineral interests, oil, gas, or other
mineral royalty interests, in, under, and that may be produced from the lands covered by the
Deeds, Bill of Sales, or Conveyances described in Exhibit "A" hereto (the "Lands including,
but not lirnited to rights to all royalties, lease bonuses, or other revenue payable under any oil
and gas and /or mineral leases covering the Lands;
(b) It is the intent of Grantor to convey to Grantee all its right, title, and interest in and to the
properties and interests described on Exhibit "A attached hereto, whether properly
described therein or not.
TO HAVE AND TO HOLD the Subject Properties unto Grantee, their successors and assigns,
The Subject Properties are being conveyed by Grantor "where is" and "as is and without any
warranty of title, express or implied. Grantor hereby expressly disclaims any and all representations or
warranties with respect to the Subject Properties. Specifically, as a part of (but not a limitation of) the
foregoing, Grantee acknowledges that Grantor has not made, and Grantor hereby expressly disclaims,
any representation or warranty (express, implied, under common law, by statute, or otherwise) relating to
titles of the properties, the condition of the properties (INCLUDING WITHOUT LIMITATION, GRANTOR
DISCLAIMS ANY IMPLIED OR EXPRESS WARRANTY OF MECHANICAL ABILITY, FITNESS FOR A
PARTICULAR PURPOSE, OR CONFORMITY TO MODELS OR SAMPLES OF MATERIALS), the extent
of oil, gas and /or other mineral reserves, the recoverability of or the cost of recovering any of such
reserves, the value of reserves, prices, (or anticipated prices) at which production has been or will be
sold, the ability to sell oil or gas production from the Subject Properties, and the condition (including,
without limitation, the environmental condition) of the Subject Properties.
This Conveyance is being executed in several counterparts all of which are identical. All such
counterparts together shall constitute one and the same instrument. Complete copies of this Conveyance
containing the entire Exhibit "A" have been retained by Grantor and Grantee.
IN WITNESS WHEREOF this Conveyance has been executed and delivered on August 17, 2011.
The "Effective Date" of this Conveyance shall be August 1, 2011 at 12:01 A.M. local time in the
jurisdiction in which the Properties are located (the "Effective Time Regardless of the revenue or
production date, Grantor shall be entitled to all revenues from the Properties received from checks, wire
transfers, or other payments dated prior to September 1, 2011. Conversely, Grantee shall be entitled to
all revenues from the Properties received from checks, wire transfers, or other payments dated on or
before September 1, 2011.
