EASEMENT
a. This easement is a nonexclusive easement.

Lincoln County School District No. 2, f /n /a Lincoln County School District No. 19,
Grantors, of Lincoln County, State of Wyoming, for and in consideration of Ten Dollars ($10.00)
and other good and valuable consideration, in hand paid receipt of which is hereby acknowledged,
GRANT AND CONVEY to Lincoln County, State of Wyoming, a Political Subdivision, acting
by and through its Board of County Commissioners, Grantee, whose address is 925 Sage
Avenue, Kemmerer, Wyoming 83101, the following described non exclusive access easement for
the property described on paragraph 4 for the following purposes:
1. PURPOSE OF EASEMENT. This easement is granted for the purpose of
providing a nonexclusive access easement for ingress, egress, and all utilities
specifically reserving unto Grantor the right to use said easement for its own use.
CONDITIONS OF THIS EASEMENT. The conditions of this easement are:
b. That Lincoln County School District No. 2 does hereby specifically reserve the right
to grant easements to other parties for the use of the same easement and further
specifically reserves the right to use said easement for its own purposes including
allowing its employees, customers and other invitees to use said easement for
ingress, egress and all utilities.
3. MAINTENANCE. Lincoln County School District No. 2 and Lincoln County do
hereby specifically agree to each pay their reasonable and fair share of the operation
and maintenance of the easement annually or at such other time as they agree. In
determining their respective reasonable and fair shares, consideration shall be given
to the amount and nature of the use made of the easement by each party and their
respective employees, customers and invitees and the amount and nature of damage
to the easement resulting from that use. If either party fails to pay their reasonable
and fair share, the parties agree that the issue shall be submitted to a mediator
selected by their mutual agreement. If the parties cannot agree on a mediator or if
mediation fails to resolve the issue, then one of more of the parties may bring legal
action pursuant to this easement to compel such payment. In any such legal action
is necessary, the prevailing party may recover their reasonable attorney's fees and
costs in addition to other relief granted.
4. SNOW REMOVAL. It shall be the responsibility of Lincoln County to remove the
snow from the above described easement in such a manner as to not interfere with
the usage of Lincoln County School District No. 2's property which is adjacent
thereto and said snow removal shall be done at no cost to Lincoln County School
District No. 2.
3. PROPERTY BENEFITTED BY EASEMENT. This easement is for the benefit of
the following described real property of Grantees in Lincoln County, Wyoming,
described as follows:
That property as more fully described on Exhibit "A -1 "entitled "Description
for County of Lincoln, Lincoln County Afton Block 22 Tract Adjusted," a
copy of which is attached hereto and by this reference made a part hereof as
well as the retained property of Lincoln County School District No. 2 which
is described on Exhibit "A -2."
4. DESCRIPTION OF EASEMENT. The easement is described as follows:
That property as more fully described on Exhibit "B" entitled "Description for
County of Lincoln from Lincoln County School District N. 2, Thirty-five (35) Foot
Shared Access Easement.
5. BINDING EFFECT. The terms and conditions of this easement shall be binding
upon and enure to the benefit of the heirs, successors in interest, and assigns of the
parties named in this instrument.
