Hamilton Vinson Elkins L.L.P. 2001 Ross Avenue, Suite 3700 Dallas, Texas 75201 KNOW ALL MEN BY THESE PRESENTS: RECEIVED 12/5/2011 at 2:52 PM RECEIVING 962217 BOOK: 777 PAGE: 380 JEANNE WAGNER LINCOLN COUNTY CLERK, KEMMERER, WY RELEASE OF MORTGAGES 00380 WHEREAS, JPMorgan Chase Bank, N.A., a national banking association, (hereinafter referred to as the "Mortgagee in its capacity as Administrative Agent under and as defined in that certain Eighth Restated Credit Agreement dated as of April 12, 2010, (as amended, the "Credit Agreement by and among Chaparral Energy, Inc., a Delaware corporation, as Parent, the Borrowers (as defined in the Credit Agreement), including Chaparral Energy, L.L.C., an Oklahoma limited liability company (hereinafter referred to as the "Mortgagor and Mortgagee, is the present holder of the mortgages, deeds of trust and similar instruments described on Annex I attached hereto and made a part hereof (as amended, the "Mortgages which Mortgages secure, among other things, the obligations and indebtedness of Borrowers under and pursuant to the Credit Agreement; and WHEREAS, the Mortgages encumber all of the rights, title and interest in and to certain real and personal property of Mortgagor, as more particularly described therein and on Exhibit A attached hereto; and WHEREAS, Mortgagor has requested that the Mortgagee release the Mortgages and all liens, security interests and other rights created thereby; and WHEREAS, pursuant to the terms of the Mortgages and the documents evidencing the indebtedness secured by the Mortgages, the Mortgagee has full authority to release the Mortgages without necessity of joinder of the Trustee (as applicable) under the Mortgages or any other party. NOW, THEREFORE, for sufficient consideration received, the Mortgagee hereby forever releases, relinquishes, discharges, terminates and quitclaims the Mortgages and all liens, security interests, assignments and other rights evidenced by such Mortgages and further terminates the assignment of production and proceeds of production granted and made in the Mortgages in favor of Mortgagee. This Release of Mortgages is executed in counterparts, all of which are identical except that to facilitate multiple recordings there may be attached to counterparts of this Release of Mortgages copies of Exhibit A to the Mortgages for less than all properties encumbered by the Mortgages. All such counterparts of this Release of Mortgages constitute one and the same instrument.
