MINERAL DEED ASSIGNMENT
I, James E. Meador, Jr., of 104 Coal Shadow Road, Glenrock, Wyoming 82637; P.O. Box
50430 Casper, Wyoming 82605 -0430, for ONE DOLLAR ($1.00) and other good and
valuable consideration, the receipt and sufficiency of which is hereby acknowledged do by
this assign, sell, grant, bargain, transfer and set over unto Meador Mineral Interests, LLC,
a Wyoming Close Limited Liability Company of 104 Coal Shadow Road, Glenrock,
Wyoming 82637; P.O. Box 50430, Casper, Wyoming 82605 -0430 as Grantee any and all
interest I now or hereafter may have in and to the following:
Township 19 North, Range 118 West, 6 P.M.,
Section 28: N /2S/2
It is the intent of this mineral deed to convey 20.00 net mineral acres
Lincoln County, Wyoming
(Assigned by Burton/Hawks Inc., to Bruce A. Hinchey and James E. Meador, Jr., grantor
recorded instrument 869284 in Book 454, Pages 741 -742, Lincoln County, Wyoming)
For the same consideration heretofore stated Assignor does hereby grant, sell,
convey and assign unto Assignee all the right, title and interest described above in
and to all oil and gas rights situated in, on and pursuant to the terms of any and all
oil and gas leases together with and including without limitation:
a) All right, title and interest in the overriding royalty acquired from Assignor
in, to and under or derived from unitization, pooling and operating
agreement and the units created thereby (including any and all units formed
under order, regulations, rules or other official acts of the governmental
authority having jurisdiction), insofar as the same cover or relate to the
properties;
b) All right, title and interest in the overriding royalty acquired from Assignor,
including future income, in, to and under or received from any production
payments sales, purchase and processing contracts and agreements, insofar
as the same relate to the lands described above, from and after the effective
date set forth below.
c) All right, title and interest in the overriding royalty acquired from Assignor
to any rights which Assignor may have under warranties and covenants
under prior or subsequent conveyances affecting the Properties;
THIS OVERRIDING ROYALTY ASSIGNMENT is subject to the following
terms and conditions:
1. The terms, covenants and conditions hereof shall be binding upon and inure
to the benefit of the Assignors and Assignee, and their successors and
assigns, and such terms, covenants and conditions shall be covenants
running with the land.

2. This Royalty and Overriding Royalty Assignment is subject to the terms
and conditions of (a) the oil and gas leases covering the lands described
above hereto and (b) the Assignments thereof which constitute the bona
fide record chain of title into Assignors.
3. The Overriding Royalty Assigrunent with all its terms and provisions shall
be effective as of January 1, 2012.
Executed by Assignor on thejZ f4 day of 4Decem J .i( 2011, but effective as of the
Effective Date.
