FOR VALUE RECEIVED Karyn W. Smith and Kristen W. Smith, Trustees as successor
Trustees of the Credit Shelter Trust created under Article 10 of The LaVar M. and Marlene H.
Withers Revocable Trust u/i /d December 21, 2004, hereinafter referred to as "Grantor does
hereby grant, bargain, sell and convey unto Withers Investments II, LLC, an Idaho limited
liability company, hereinafter referred to as Grantee, whose current address is 588 West 2300
South, Syracuse, UT 84075 the following described premises, in Lincoln County, Wyoming, to
wit:

Lot 7 of Star Valley Ranch Plat 9, Lincoln County Wyoming as described on the official
plat thereof.
TO HAVE AND TO HOLD the said premises, with their appurtenances unto the said
Grantee, and Grantee's heirs and assigns forever. And the said Grantor does hereby covenant to
and with the said Grantee, that Grantor is the owner in fee simple of said premises; that they are
free from all encumbrances and that Grantor will warrant and defend the same from all lawful
claims whatsoever.
