The undersigned, MARVIN E. WOLF and /or MARVIN E. WOLF doing business as WOLF ENERGY COMPANY, hereinafter referred to as "Assignor" owns an interest in the oil and gas leases, royalty interests, overriding royalty interests, and other property or mineral interests with respect to the properties described on Exhibit A attached hereto and incorporated herein by this reference, all of which shall for convenience be referred to collectively as the "Properties." B. Assignor desires to assign all of its interest in the Properties to the following named entity, which is herein referred to as "Assignee Wolf Energy Company LLC P.O. Box 1715 Denver, Colorado 80201 ASSIGNMENT NOW, THEREFORE, FOR AND IN CONSIDERATION OF THE SUM OF TEN DOLLARS AND OTHER VALUABLE CONSIDERATION, THE RECEIPT AND SUFFICIENCY OF WHICH IS HEREBY ACKNOWLEDGED: 00130 1. ASSIGNMENT AND QUIT CLAIM DEED. As of the effective date of this Assignment, and subject to the reservations and exceptions set forth below, Assignor hereby transfers, sells, assigns and conveys to Assignee, all of Assignor's undivided right, title and interest in and to the Properties, including but not limited to all working interest (including pooling rights), royalty interests and overriding royalty interests. PRESENT BURDENS AND ASSUMPTION. This Assignment is expressly subject to all terms and provisions, express or implied, provided in the Properties hereby assigned and conveyed, including all royalty, excess royalty, overriding royalty, production payments and other interest in production, if any, running in favor of the Properties. 3. ASSIGNEES AND SUCCESSORS. This Assignment shall be binding upon, and inure to the benefit of, the respective heirs, devisees, executors, administrators, trustees, successors and assigns of Assignor and Assignee. 4. WARRANTY.
