Assignee shall be substituted in the full place and stead of Assignor and shall take all legal action he may deem proper or necessary in connection with the Certificate of Sale assigned. All acts, assignments and transfers under this assignment and all rights of the parties under this assignment shall be governed by the laws of the State of Wyoming. All agreements of the parties are contained in this assignment which cannot be modified except by written instrument signed by all parties.
